We work with clients globally across multiple consumer packaged goods sectors and across all types of market environments. Everything we do is centred on a single overarching mission: creating innovative display solutions that deliver in-store excellence and drive shopper conversion and revenue growth.
We are launching our Governance Graduate recruitment for 2025, where we have an opportunity for a Governance Graduate to join our head office team in our Manchester headquarters with hybrid work flexibility to support our global business. This role will follow a Governance/Company Secretary career path by enrolling with the Chartered Governance Institute (CGI).
We will be holding an assessment centre in our Manchester HQ the week of the 5th of May, so if you are successful in the initial screenings, you will be invited to attend this assessment centre.
About the role
Your main responsibilities will be to work on global entity management, supporting the Statutory Governance Manager in ensuring that all of our global entities are compliant with local laws and regulations.
You will coordinate corporate secretarial work across a range of jurisdictions, maintain our statutory registers, and ensure that any corporate changes are notified to relevant authorities, such as banks, tax authorities, and registrars of companies.
You will also support the preparation and filing of statutory documents as required for entities based outside of the UK and the preparation of meeting agendas, draft minutes, and board packs.
Some other responsibilities will be:
1. Ensure all documents that require signature by a director or legal representative are compliant.
2. Maintain a full and accurate register of external directors for each entity and ensure that a relevant and up-to-date service contract, power of attorney, and/or engagement letter is in place for each one.
3. Liaise with the DS Smith Group Company Secretarial team to ensure that all information held on Diligent is up-to-date and correct in relation to the various Packaging Services entities.
4. Monitor the accounts filing deadlines of our global entities.

This role could be a great fit for you if you have recently graduated with a relevant degree and are looking to start your career in Governance while working towards the Governance/Company Secretary qualification. You will be working closely with a variety of different stakeholders within TMS, in the UK and internationally, so this is a fantastic opportunity if you are interested in working for businesses that can offer this range of exposure. We are looking for someone who is ambitious and wants to learn and progress!
