Key Responsibilities:
Transactional Assistance:
* Actively liaising with external law firms to tie in with completion arrangements;
* Signing and closing arrangements for transactions (including drafting completion agendas, arranging signatories and arranging for execution of documents);
* Review of finance and ancillary documents against agreed precedents;
* Preparation and collation of conditions precedent documentation (e.g. board minutes, shareholder resolutions and directors certificates);
* Review and preparation of post-completion documentation bibles; and
* Ensuring documents are stored and organised efficiently post-deal completion.
General Administration:
* Draft various documentation, including but not limited to, term sheets, NDAs and third-party engagement letters, working from approved templates;
* Assisting with the standardisation of certain templates;
* Co-ordinating the signing arrangements for different documents;
* Actively managing legal spending by tracking costs on file for various advisors;
* Liaising with Cosec teams to ensure KYC packs for fund entities remain updated;
* Assist with special projects and in-house legal and secretarial matters;
* Assist in designing and streamlining workflows with a focus on improving client experience; and
* General paralegal duties and support.
Qualifications / Skillset:
* A minimum of 1 year of experience as a paralegal, preferably in property, corporate, or finance law;
* Prior in-house experience;
* Excellent writing skills and ability to draft “easy to understand” emails and articulate thoughts without legal jargon;
* Attention to detail and strong research (prior experience with platforms like PLC, Lexis Nexis) and organisational skills;
* Excellent command over MS Word and Adobe Acrobat;
* Be able to make decisions and prioritize matters, with limited input and guidance; and
* Proven ability to multi-task and effectively manage a busy workload.
