Provide legal support on corporate, insurance regulatory, and Lloyd’s matters for Enstar’s European companies, and assist with Enstar’s M&A activities.
What you will be doing:
* Offer legal support to the Enstar Europe business segment on corporate, regulatory, and Lloyd’s matters.
* Assist with corporate reorganizations, integrating newly acquired businesses, and other strategic initiatives.
* Act as the key legal liaison to Enstar EU regulated entities, advising senior staff and subsidiary boards on corporate, regulatory, transactional, and governance matters.
* Handle other corporate legal and regulatory matters as assigned by the Senior Legal Counsel.
* Provide legal support to the M&A Team, including advising on legal aspects of corporate insurance acquisitions and reinsurance transactions, performing legal due diligence, and reviewing, drafting, and negotiating transaction documents.
What you will bring:
* A minimum of 3 years of post-qualification experience in corporate insurance M&A, including Part VII transfers and collateralized reinsurance transactions.
* At least 3 years of experience in corporate and regulatory insurance matters.
* Insurance industry experience required.
* Proficiency in drafting and reviewing complex transaction documents.
* Capability to research and self-educate in new areas relevant to business needs.
* UK-qualified solicitor in good standing.
* Knowledge of corporate insurance M&A transaction documents and reinsurance.
* Strong grasp of insurance regulatory regimes including the PRA, FCA, Lloyd’s, and other European regulators.
* Strong understanding of restructuring and reorganization transactions, including Part VII transactions and RITC transactions.
* Strong knowledge of general company law and contractual practices.
* Understanding of UK corporate governance principles.
* Excellent analytical, legal, and presentation skills.
* Ability to communicate effectively and professionally with both senior management and local management.
* Good time management and organizational skills.
* Commitment to ensuring high-quality work product and timeliness of response.
* Attention to detail and flexibility to adapt to changing circumstances.
* Ability to work cooperatively in a team environment with peers and others, including sharing information and workload.
* Comfortable working independently in a fast-paced environment with strong organizational skills and ability to manage multiple projects simultaneously.
