Governance Director & Company Secretary – Rail – Hybrid - London

Oliver Sanderson are engaged with a National Rail Business to source a Governance Director & Company Secretary based in London. This is an exciting opportunity for a proactive and resilient professional with a strong understanding of company law, governance requirements, and regulatory compliance to take on a challenging role.
You will be responsible for leading and managing all corporate governance activities, ensuring that governance and decision-making processes are conducted to the highest standards. You will also lead and mentor the Enterprise Governance and Company Secretariat Team.
Areas of focus:
* Ensure compliance with legal, regulatory, and governance requirements.
* Attend Executive and Board meetings as Company Secretary.
* Maintain the Delegation of Authority, signing policies, and powers of attorney register.
* Build and maintain strong relationships with stakeholders across the business.
* Maintain accurate records and provide timely reports to executives and relevant authorities.
* Engage with transformation initiatives to improve safety culture and operational performance.
* Support the legal services team in non-specialist areas as required.
Skills & experience:
* Extensive experience as a Company Secretary, ideally within regulatory sectors.
* Strong knowledge of company law, corporate governance, and regulatory compliance.
* Proficiency in governance software as well as Microsoft Office applications.
* Exceptional attention to detail and a commitment to delivering high-quality work.
* Excellent communication skills, with the ability to engage effectively with senior stakeholders.
* Proven ability to maintain confidentiality and handle sensitive information with integrity.
* Strong organisational and time management skills.
* Ability to manage competing priorities under pressure.
* Resilience, adaptability, and a proactive approach to challenges and change.
* Experience mentoring and coaching team members, fostering a collaborative and supportive team environment.
* A commitment to continuous improvement and the ability to thrive in a high-profile, fast-paced setting.
This is a hybrid role based in the city of London, with the opportunity to work up to 50% from home.
