We are recruiting for a Governance Executive to join our Group Legal and Company Secretary department to assist the Subsidiary Company Secretary and their team in all governance matters across Admiral Group Plc. You will be flexible and able to thrive under pressure. You will have knowledge and experience of performing company secretarial duties including servicing boards and committees, coordinating board dates, drafting agendas, preparing board papers, action logs and minute taking. This role requires strong organisational skills, diligence, attention to detail and the ability to manage multiple tasks effectively.
Key Responsibilities:
* To support the highest standards of governance across the organisation.
* Reporting to and supporting the Subsidiary Company Secretary, the Subsidiary Boards and Committees and members of the Senior Management Team in all governance matters to include:
* Liaising with all Subsidiary Boards and Committee members to coordinate board dates.
* Coordinating board papers.
* Attending and minuting regulated subsidiary Board and Committee meetings, drafting accurate and comprehensive minutes and maintaining action logs.
* Coordinating Subsidiary Board evaluations and SMCR Fitness and Proprietary assessments.
* Assisting the Subsidiary Company Secretary and other members of the Company Secretary team with preparation for annual accounts and governance statements where required.
* Assisting the Subsidiary Company Secretary and other members of the Company Secretary with Companies House submissions and regulatory filings.
* Being a point of contact for non-executive directors including for induction, training, travel and ad-hoc queries.
* Manage and support the development of corporate governance administration providing advice and support to other administrators and/or members of the Company Secretary Team to ensure consistency and quality of service delivery is maintained.
Key Requirements:
* Excellent academic background.
* A governance related qualification or experience of working in a governance role.
* Knowledge and understanding of governance frameworks ideally within a regulated sector.
* Excellent attention to detail and experience of providing a professional service to individuals working at all levels in the organisation.
* Proficiency with technology and systems relevant to company secretarial work, such as Diligent Entities and Diligent Boards (or equivalent).
* Ability to build positive relationships and effectively influence, advise and support people throughout the organisation.
* Excellent written and verbal communication skills.
* Willingness to regularly work from the office including, when required, to attend team, Board and Committee meetings.
* Willingness to engage with team and Company activities, events, impact days and other social events as and when they arise.
