Head of Compliance / Company Secretary - SMF 16
London based
Salary competitive; circa £120 - 150,000 pa
The successful candidate will lead the Bank's Compliance operations by directing and coordinating activities to ensure that the Bank's compliance regime and processes are maintained in accordance with current and future regulatory policy. In order to perform these tasks, you will be registered with the PRA/FCA for the controlled function SMF16.
Performing the role of Company Secretary, you will also help facilitate good communication between the board, committees, senior management and non-executive directors.
Key Roles and Responsibilities will include:
1. Chair the monthly Compliance Committee.
2. Monthly update and discussion with the Chair of the Risk Committee.
3. Lead the Compliance function to ensure the timely and effective provision of high-quality compliance services, advice, and guidance to the Bank.
4. Manage the relationship with and act as the Bank's representative to the PRA and FCA with regards to compliance.
5. Advise the Bank on applicable laws, rules, regulations, and codes of practice to ensure business is conducted in a compliant manner.
6. Develop and manage the Bank's compliance procedures, documentation, and monitoring systems, with responsibility for change management initiatives to enhance the Bank's compliance processes.
7. Provide strategic and tactical consulting to lines of business and branches on issues related to compliance.
8. Inform, advise, and educate business units, senior management, and the Board of Directors on all compliance responsibilities.
9. Communicate significant issues to Senior Management and makes recommendations when weakness is identified.
10. Develop, implement, and manage relevant Compliance monitoring programmes.
11. Alongside the MLRO, ensure that adequate anti-money laundering procedures and processes are in place.
12. Investigate and report upon actual and regulatory breach and propose remedial action.
13. Manage and develop direct reporting staff in a small Compliance team.
14. Identify all significant risks within your area and to assign ownership and responsibility for the management of these risks. Ensure that all risks are mitigated by adequate controls, which meet the regulatory standards of the firm's overall risk appetite. Responsible for the ongoing management of these controls and ensuring that any control shortfalls are identified and immediately corrected and escalated where appropriate.
Company Secretary
1. Facilitate good communication between the board, committees, senior management and non-executive directors.
2. Take responsibility for the administration of the Bank, for example: maintaining statutory books, including registers of members, directors etc, organising board meetings, preparing agenda and taking minutes.
3. Monitor changes in relevant legislation and the regulatory environment and take relevant action.
Essential Skills, Experience and Qualifications
1. Extensive relevant experience in an international financial institution.
2. Strong communication, co-ordination and leadership skills - ability to discuss and reach agreements with personnel at all levels and with other diverse backgrounds.
3. Degree in a technical or professional subject or appropriate professional qualification.
4. Previous company secretarial experience, within a UK listed company or within financial Services.
5. Extensive working knowledge of the most up-to-date legal, corporate governance and regulatory frameworks within a listed environment.
6. Keen attention to detail with excellent written and verbal communication.
7. Proactive and a strong team player. Able to build strong successful working relationships.
