The Team
The Private Equity team is renowned for its expertise in advising sponsors, portfolio companies, and institutional investors on high-value, complex transactions. With a focus on delivering practical and commercially astute advice, the team works across a wide range of industries, including financial services, technology, and healthcare.
The practice spans secondary transactions, co-investments, leveraged buyouts, and portfolio acquisitions and sales. Supported by a collaborative and well-integrated international platform, the team is adept at managing multi-jurisdictional deals and navigating sophisticated structures, ensuring seamless delivery of legal solutions tailored to clients' needs. The team is known for its strong technical skill, responsiveness, and ability to provide strategic, client-focused advice in an ever-changing market landscape.
The Role
This role offers the chance to join a dynamic team working on high-profile, market-leading private equity transactions. You will collaborate with globally recognised sponsors and institutional investors, contributing to transformative deals and deepening your expertise in the private equity sector.
Key Responsibilities:
* Advising on private equity transactions, including secondary deals, co-investments, and portfolio transactions.
* Drafting and negotiating key documentation such as SPAs, shareholders' agreements, and investment agreements.
* Supporting institutional investors, sponsors, and portfolio companies in executing complex cross-border transactions.
* Providing pragmatic, commercially driven advice to a sophisticated client base.
* Taking a lead role in deal management and fostering client relationships.
* Contributing to team growth through business development initiatives and thought leadership.
Key Requirements
The ideal candidate will have 2–5 PQE in private equity, M&A, or transactional work and candidates MUST be qualified solicitors, ideally qualified in England & Wales or a Commonwealth jurisdiction.
Successful candidates will demonstrate:
* Strong private equity or transactional experience from a leading law firm.
* Excellent drafting, negotiation, and communication skills.
* Commercial acumen and a proactive, client-focused approach.
* The ability to manage competing priorities in a fast-paced, high-pressure environment.
* Experience working on multi-jurisdictional transactions and a familiarity with UK and European market norms.
* A collaborative mindset and a strong desire to develop professionally.
