We are looking for a motivated and enthusiastic individual to join our Corporate Governance Team in order to support the Trust in delivering our ambitious strategy. This individual provides an important role in the provision of company secretarial support to ensure that the Trust meets its statutory duties and maintains the highest standards of corporate governance.
The role requires excellent organisational skills in order to provide robust administrative support including drafting agendas, maintaining action logs, collating papers, producing accurate minutes and assurance reports all within challenging timescales.
The role also includes leadership responsibilities within the team, and will contribute to and lead on some key governance projects. It is essential that you are able to work in a flexible and varied work environment. The ideal candidate will have experience in facilitating meetings within a complex governance and assurance structure, and familiarity with site-based governance models. Further experience in facilitating board level committees, or similar corporate meetings with exemplary communication skills and an ability to work closely with Executive Directors and Non-Executive members of the Board, other senior managers and stakeholders is required.
Whilst the role is a key part of a larger team you will be expected to work autonomously at times and be proactive in keeping up to date with statutory and regulatory requirements.
Main duties of the job
The postholder will work as part of the Corporate Governance Team, led by the Group Chief Corporate Affairs Officer & Company Secretary (CCAO) to establish, develop and maintain arrangements and procedures for the sound corporate governance of each Trust within the Group.
The post holder is responsible to the Group Associate Director of Corporate Governance & Company Secretary (ADCG) as Head of the Group Corporate Governance Team. The purpose of the Group Corporate Governance Team is to advise and support the Chair, Board of Directors and Council of Governors on all aspects of regulation, corporate governance and effective business conduct for the organisation.
Predominantly this will include ensuring that the meetings identified within the governance of the Liverpool Adult Acute and Specialist Providers (LAASP) Programme have robust administration in place.
The post holder must be able to demonstrate a high degree of competence with regard to a wide range of secretarial and administrative duties including the use and application of information technology. It is essential to possess excellent organisational, interpersonal and communication skills, and be able to work to manage own workload with the minimum supervision and work to tight deadlines.
Job responsibilities
To support the Group Corporate Governance Team in ensuring that the Board of Directors and all meetings identified in the Group Governance and Assurance Framework are properly constituted with clear terms of reference and conduct their affairs in accordance with the Standing Orders, Standing Financial Instructions and the Scheme of Delegation of each Trust within the Group.
To support arrangements for the Annual Members Meeting, working in conjunction with the Group Corporate Governance Team.
The role will specifically lead on governance for the Liverpool Adult Acute and Specialist Services (LAASP) Programme which includes (but is not exhaustive): LAASP Joint Committee, LAASP Portfolio Board, LAASP CEO Design Authority, LAASP Clinical Reference Group, Supporting Programme Groups.
To work within the Standing Orders and Schedule of Matters reserved for Board.
Maintain an awareness of the changing regulatory environment affecting the corporate governance of NHS Foundation Trusts, and their relevant codes and statutes. Ensure that prospective changes to governance models are identified and proposals for accommodating developed.
Support Non-Executive Directors of the Board of Directors, including (but is not exhaustive) appraisal process, Fit and Proper Person processes and Recruitment Campaigns are implemented and adhered to in line with Trust(s) and national requirements.
To work with the CCAO and ADCG to coordinate documentation and preparation for the Well-led review and any other external review of the Trust's governance arrangements.
Person Specification
Qualifications
* CGI/relevant professional qualification/postgraduate diploma or demonstrable experience in a similar role.
* Evidence of continuing professional development in the company secretary (health service), or corporate governance field.
Experience
* Demonstrable previous experience in committee administration.
* Well developed influencing skills with the ability to enthuse, motivate and involve individuals and teams, and have them understand the Trust's and your performance expectations.
* Ability to be intellectually flexible and to look beyond existing structures, ways of working, boundaries and organisations to produce more effective and innovative performance and partnerships.
* Sound political judgement and astuteness.
* Understand critical importance of confidentiality.
* Best practice relating to minute taking.
* Understanding of Corporate Governance concepts and principles.
* Experience of managing a project following project management methods and processes (i.e. Prince2).
