Job Description:
The role of the Paralegal at John Crane (Global) is to provide global support to the John Crane Global Legal Team.
You will support team members across a number of different tasks including contract governance and management (including through our CLM system), company secretarial support, initial contract reviews, and compliance activities (including for management of our agent and distributor programme).
Responsibilities
* Support governance of legal tasks identified in Group Policy 3.04 for Agent and Distributor portfolio globally, including the administration of contracts, due diligence, review and approval processes.
* Guide all users of the contract lifecycle management tool on an ongoing basis during roll-out and post-rollout phases, including assisting with contract development, tracking, analysis, and reporting.
* Under supervision of line manager or John Crane legal counsel, review contracts, including NDAs, commercial contracts, and any other associated legal documents.
Support the Assistant Company Secretary in:
* The execution of corporate documentation such as Board/Shareholder minutes and resolutions, powers of attorney, and proxies for routine business such as Director and Officer changes, annual compliance and accounts, dividend payments, and organising if required for such documents to be notarised and or apostilled.
* Subsidiary governance, there are approximately 90 entities worldwide.
* Year-end processes including GEMs annual audit.
* Communication with senior stakeholders throughout the Company.
Ad hoc projects as directed by the Assistant Company Secretary and other members of the John Crane Legal Team.
Qualifications & Experience:
* Law degree or post-graduate legal qualification from an accredited university or equivalent.
* In-house paralegal experience across a broad range of legal and company secretarial tasks.
Language Skills:
* You will be required to converse with members of the Legal team and John Crane colleagues globally. Fluency in English is essential for this role; other language(s) will be helpful.
Technical Knowledge and Skills:
* Excellent MS Office skills are required.
