The Client -
A global investment management organisation, that is well regarded and is currently looking to bring in a company secretary to join their team.
The Role -
* Act as the Company Secretary for a portfolio of investment trusts, delivering comprehensive support including strategic planning, preparation of board materials, attending meetings, conducting board evaluations, drafting minutes, and preparing/releasing regulatory announcements.
* Maintain a robust governance framework for the investment trusts, ensuring compliance with regulatory obligations and alignment with client board expectations.
* Provide governance advice to the boards of the investment trusts, ensuring practices meet established standards and adhere to group-wide governance principles.
* Organise and manage shareholder meetings for the investment trusts in collaboration with internal teams, including overseeing proxy voting processes and coordinating with voting agencies.
* Coordinate with internal and external stakeholders to draft and oversee the timely publication of annual and interim reports as well as other shareholder communications.
* Offer expert guidance on statutory and regulatory requirements under applicable legislation, listing rules, disclosure frameworks, market abuse regulations, and governance codes.
* Manage insider lists for financial disclosures and key projects, ensuring proper communication and compliance with regulatory standards.
You -
* Will have previous Company Secretary experience within a listed company.
* An understanding of corporate secretarial practice and excellent attention to detail.
* Ability to produce high quality board minutes.
* Ability to build strong relationships with colleagues and external parties.
* Ability to engage with partners and senior management with confidence and an assured
* approach.
* Ability to manage and reconcile conflicting demands and stakeholders.
* Excellent planning, scheduling, and coordination skills.
