Overview
Join Gallagher as a Legal Counsel within our Integration Team, where you will play a crucial role in supporting the Gallagher group of companies across the UK and EMEA.
Your primary responsibility will be the post-acquisition integration of businesses, while also managing legal risks related to corporate transactions and commercial arrangements.
You will provide expert legal advice, advocate Gallagher’s position to third parties, and negotiate, prepare, and review commercial agreements.
The role can be based from our Birmingham, Edinburgh, Glasgow, Manchester or London offices.
How youll make an impact
* Collaborate with project teams to understand commercial drivers and post-integration objectives.
* Build and maintain relationships with key stakeholders.
* Represent the Integration team in projects, influencing contract change requirements.
* Act as a legal intermediary between the business and external counsel.
* Manage engagement and budgeting for external counsel when necessary.
* Draft and manage a variety of documents, letters, and contracts.
* Liaise with the company secretariat to review and amend corporate documents.
* Draft board and committee papers for integration or restructure approvals.
* Handle operations and business unit requests for contract review and related matters.
* Oversee the transfer of commercial contracts during integration.
* Collaborate with procurement and legal teams on supplier agreement transitions.
* Prepare risk notes for stakeholders on negotiated positions and integration impacts.
* Ensure alignment with Gallaghers priorities, policies, and regulations.
* Develop an understanding of Gallagher’s divisions and products for informed legal counsel.
* Offer strategic legal advice to stakeholders, including senior management.
* Maintain communication with external counsel and third parties for legal clarity.
* Participate in meetings and negotiations to advocate for Gallagher’s interests.
* Foster collaborative relationships within Gallagher to support integration efforts.
* Deliver legal training to outsourcing providers and integration colleagues.
* Provide precise legal advice, primarily under English law, with guidance on other legal systems as needed.
* Refer matters to subject matter experts within the legal team when appropriate.
* Supervise and delegate work to outsource providers and offshore resources.
* Ensure timely progression of legal issues and finalisation of documentation.
* Develop legal templates, guidance notes, and efficiency initiatives.
* Stay updated with legal developments and communicate relevant issues to the team.
About You
* Experience gained as practicing corporate and commercial contracts lawyer (in-house or private practice)
* Experience gained within the insurance or financial services sector is highly desirable.
* Proven ability to influence stakeholders
* Strong problem-solving and communication skills
* Commercial awareness
* Ability to deliver under pressure and meet tight deadlines
