About the role: Vice President – Transaction Structuring This position will be working alongside the Corebridge Real Estate Investors (CREI) investment and asset management teams on real estate equity transactions in the London office. This individual will be responsible for the taxation function overseeing structuring for real estate transactions and associated investment vehicles. The position will have responsibility for tax compliance oversight for the European portfolio and co-ordination with external advisors to assess, monitor and document impact of new tax legislation. Position will report to the European Managing Director. Co-ordination with external tax advisors and determination of new investment and product structures for real estate equity investments. Responsibility for review of related deal documentation. Implementation of tax structuring advice on deal closing including establishing appropriate capitalization of investment and co-ordination of preparation of required transfer pricing studies. Preparation of tax assumptions for deal and product modelling. Work with asset management teams on disposition activities including co-ordination for preparation of data-room for due diligence activities, obtaining tax advice from third party advisors, review of legal documentation including tax warranties and disclosure letters and management of cash repatriation. Oversight and review of local tax compliance matters for the European portfolio with responsibility to ensure timely submission and review of assumptions provided to third party compliance advisors. Responsibility for co-ordination of review of new tax legislations as introduced to determine impact to the real estate portfolio with documentation of conclusions and implementation of new policies and procedures as required. Scope including but not limited to domestic tax legislation in jurisdictions of operation, CBC reporting, Corporate Interest Restriction regimes (i.e. BEPs Action 4), ATAD directives (including Anti-Hybrid regimes) and Pillar II. Direct contact for all tax matters with Corebridge internal corporate tax teams. Who we are looking for: Must hold professional accounting or tax qualification with a minimum of 7 years’ experience in related area. Demonstrable knowledge of tax considerations for pan-European real estate equity asset class (particularly within a Funds context). Excellent verbal and written communication skills. There will be heavy interaction with many parties in various tax and non-tax departments, levels, and locations. Detail-oriented and willing to take a hands-on approach. Capable of working independently, strong organizational skills, flexibility and ability to identify and resolve issues. Ability to work in an entrepreneurial environment and work on multiple deliverables/projects simultaneously.
