PURPOSE OF THE ROLE:
The UK and International Corporate Action teams sit within the Asset Maintenance area of Operations. Reporting to the Corporate Actions Manager, the role holder is responsible for executing the timely and accurate end-to-end processing of all Corporate Action and Dividend events which have an impact on security positions held by our clients. Attention to detail, efficiency, and accuracy is key.
KEY ACCOUNTABILITIES:
1. Manage the end-to-end corporate action event life cycle on capital and income events across UK and international markets and custody platforms.
2. Analysis and interpretation of incoming market announcements from data vendors and creation of the event in our systems ensuring compliance with CASS, CRS, MiFID and consumer duty requirements.
3. Timely set up and distribution of event notifications to customers and acting on client elections accurately by acceptance deadline.
4. Ensuring corporate action entitlements are allocated to our customer accounts accurately and timely.
5. Maintenance of the Dividend Reinvestment (DRIP) programme and daily adjustment of firm prefunding requirements for dividends.
6. Own the end-to-end process of cross-border events to ensure final settlement in the resultant market/custodian.
7. Processing of IPO events including elections and entitlements.
8. Processing proxy voting, ensuring accuracy and completeness.
9. Identification and escalation of commercial opportunities through corporate action announcements.
10. Liaise with external counterparties and agents/internal departments as required.
11. Interact daily with Customer Services, handling all front office and customer queries efficiently.
12. Maintain compliance with regulatory standards set out in the relevant FCA rules and guidance.
13. Completion of regular reconciliations working closely with key stakeholders.
14. Analysing operational processes and identifying opportunities for improvement.
15. Assistance with ad hoc and scheduled projects as required.
16. Assist with system testing as required.
17. Provide Management Information when required.
18. Perform other duties and responsibilities as assigned.
Skills and Experience Required:
Essential:
1. Proven 3 Years+ experience in a corporate actions or dividend role.
2. Advanced analytical skills to interpret complex market, legal, tax, and company data.
3. Full understanding of FCA rules including CASS, MiFID, Consumer Duty and CRS reporting.
4. Ability to develop strong relationships with key stakeholders.
5. Advanced communication skills.
6. Ability to exercise sound judgement and escalate issues appropriately.
7. Advanced organizational skills to manage multiple tasks in a fast-paced environment.
8. Positive outlook, energy, and enthusiasm.
9. Creativity and ownership for work quality and improvement.
Desirable:
1. Degree in Business or finance related discipline or Level 3 IOC (CISI).

2. Full understanding of different types of corporate action events.
3. Working knowledge of equity capital markets and corporate finance.
4. Understanding of the regulatory environment's impact on corporate actions.
5. Knowledge of settlement rules of relevant UK and International markets.
Desirable:
1. Experience as a validator of corporate action events.
2. CISI Introduction to Securities and Investment Certificate or equivalent.
3. Bachelor’s degree in a Business or Finance related discipline.
4. Experience in continuous improvement methodology within an operational environment.
5. Knowledge of JHC Figaro, SQL and Microsoft Excel macro.
