We are looking to recruit an experienced Company Secretarial Manager to join our busy team to provide advice and assist with the legal work in relation to our client’s company reorganisations and other corporate transactions.
The successful candidate will liaise internally with the company’s directors and client mangers as well as the company’s clients. This role is an opportunity to work as part of an integrated technical advisory support service

Our professional and dedicated team works closely with clients to ensure compliance, efficiency, and strategic growth. We are seeking an experienced Company Secretary Manager to join and lead our company secretarial team and what it delivers.
You You'll Be Working with:
Mark Bramall joined DY in 2003, qualified in 2004 and was subsequently promoted to Director in 2010. Mark leads advisory on Corporate Finance and buying/selling businesses and also supporting business restructures, succession planning, commercial advice and strategic planning.
He supports a small portfolio of typically owner managed businesses looking to take their business forward or plan for exits. Within this role, Mark supports all aspects of business and taxation advice to suit the business’ needs alongside a team of colleagues.
A keen golfer and and football fan, Mark is a regular visitor to Croud Meadow to watch his local team Shrewsbury Town FC. He is also a keen cyclist, mountaineer and rock climber, spending many of his weekends in Wales or Scotland, weather permitting!
The Company Secretarial Manager will:
* Manage the corporate secretarial services team who deliver for a diverse portfolio of clients, ensuring compliance with regulatory requirements and corporate governance best practices.
* Deliver the KPI’s for the CS team
* Assist with due diligence corporate restructuring, and mergers/acquisitions as required.
* Advise on company law implications for client companies in relation to all matters relating to shares and voluntary striking off of a Company.
* Advising on Articles of Associations and updating the Articles as and when required.
* Advise on Company Incorporations and see through to the formation of the Company.
* Draft legal documents, including Board Minutes/Resolutions; Members Resolutions; Company House documents; Share Certificates.
* Maintain Statutory Records and all associated documentation on the electronic company secretarial software,
* Responsible for the on boarding of clients and ensuring all regulatory, legislative and compliance responsibilities are maintained and all aspects of Corporate Company Secretary engagement letters.
* Supporting with the preparation and filing of the annual Confirmation Statements.
* Responsible for with the company’s annual filing of ERS returns and identifying reportable transactions.
* Ability to develop their network within the firm as well as working with external law firms.
Requirements
* Qualified Solicitor/Legal Executive or ICSA/CGI qualified with a minimum of 5 years’ experience in a similar environment
* Strong knowledge of UK company law, corporate governance, and regulatory frameworks.
* Capable of managing and prioritising own workload.
* High level of technical skills and commercial awareness
* Attention to detail and strong organisational skills.
* Excellent communication (verbal/written) and interpersonal skills
* Friendly and professional demeanour with a positive attitude
* Task focused and self-managing
* Desire and confidence to challenge and identify areas of continuous improvement.
