The Director, Legal will support the legal, regulation and compliance functions of IBA and ensure that IBA complies with its legal and regulatory obligations. This position will be reporting to the Head of Legal and Compliance, IBA. Responsibilities • Understand and advise on UK and EU Benchmark Regulation, EU Deforestation Regulation, DORA, GDPR, and other applicable and upcoming EU and UK data, technology, derivatives, financial services and sustainability laws and regulation applicable to IBA’s products and services • Negotiating bespoke vendor and service provision contracts related to IBA’s business, including IP, data, and technology services • Legal support for new products, including legal and regulatory analysis, risk review, commercial negotiations and developing contractual documentation • Managing and updating IP licensing documentation, including license agreements, vendor agreements, side letters, legal notices, terminations, amendments, novations, web-platform terms and conditions, disclaimers. • Supporting IP filings and applications, including trademarks and patents, and enforcing IP, with support of external counsel as applicable • Supporting disputes and litigation work, with support of external counsel as applicable • Supporting on English law corporate matters, including relating to IBA’s board of directors • Managing and updating legal aspects of commercial documentation, including fee schedules, user guides, presentations, press releases, user emails and notices • Reviewing and addressing legal queries and comments on standard licensing documentation and regulatory terms from clients • Assessing legal risks associated with IBA products and assisting with producing board and risk committee papers • Supporting legal work related to audits and assurance • Working with senior ICE lawyers and business teams across on company-wide initiatives impacting IBA • Managing external counsel as required in multiple jurisdictions related to IBA products Knowledge And Experience • Extensive private practice and in-house experience as a qualified solicitor at leading institutions. • Experience of one or more of financial services regulation, benchmarks, derivatives, financial and commodity markets, sustainability, IP, technology and data, and corporate law. • Experience working across departments and teams in an international setting, including business and commercial, compliance, technology, risk and audit
