Description of Job
The Clerk to the Board is a key governance role at New Wine, providing administrative and advisory support to ensure effective Board operations. Reporting to the Executive Assistant to the Operations Director, the successful candidate will work closely with the Chair of the Board, subcommittee leads, and senior staff to facilitate meetings, maintain records, and ensure compliance with governance requirements.
Areas of Responsibility:
Board Administration
* Arrange Board meetings in consultation with the Chair and Operations Director.
* Prepare and circulate agendas, supporting documents, and relevant papers well in advance.
* Attend Board meetings, accurately record minutes, and distribute approved versions promptly.
* Maintain attendance records and follow up on agreed action points to ensure accountability.
Support for the Chair of the Board
* Assist with scheduling meetings, drafting correspondence, and other administrative tasks.
* Collaborate with the Chair to support trustee recruitment and induction as needed.
* Act as a trusted partner to the Chair, ensuring the smooth operation of Board activities.
Subcommittee Support
* Arrange, attend, and minute Safeguarding, Finance, Health & Safety and HR subcommittee meetings.
* Collaborate with subcommittee leads to develop agendas and track action points.
* Distribute accurate minutes and follow up on subcommittee actions to ensure progress.
Regulatory Compliance
* Assist the Finance Director with preparing and submitting statutory returns to Companies House and Charity Commission.
* Ensure all governance actions align with legal and regulatory requirements.
Records Management
* Maintain and update Board and subcommittee records with accuracy, confidentiality, and compliance with data protection laws.
* Organise and archive important documents, such as terms of reference, policy approvals, and minutes.
Stakeholder Communication
* Serve as a key contact for Board members, ensuring timely and effective communication.
* Work with the Executive Assistants to the National Leader and Operations Director to plan and schedule regular meetings.
Governance Support
* Maintain an up-to-date database of Board members, including terms of office and contact details.
* Provide advice on governance best practices, including committee structures and self-evaluation.
* Keep the Board informed of legislative changes affecting governance responsibilities.
Professional Development and Additional Duties
* Participate in governance-related training and professional development to stay informed on standards and legal requirements.
* Support initiatives such as skills audits, annual Board calendars, and member development plans.
* As needed, contribute to ad-hoc committees or panels, such as appeals or disciplinary hearings.

* Proven administrative experience, ideally in a governance or Board-level role.
* Strong organisational and time-management skills, with the ability to prioritize effectively.
* Excellent written and verbal communication skills.
* Experience taking accurate and concise minutes for formal meetings.
* Familiarity with governance requirements for companies or charities.
* Commitment to New Wine’s mission and values.
Desirable Skills and Experience:
* Knowledge of compliance requirements for Companies House and the Charity Commission.
* Experience supporting subcommittees in areas such as safeguarding, finance, or HR.
* Understanding of governance best practices in non-profits or faith-based organisations.
