BPAS is seeking a Head of Corporate Governance to join the team. This role is for 36 hours per week over Monday to Friday. It's a hybrid position, working from home with travel expected to Head Office in Leamington Spa, & BPAS Units as required.
The Role
As Head of Corporate Governance, you'll lead on all aspects of corporate governance across BPAS, ensuring compliance with regulatory & legislative requirements, national policies, & organisational standards. Acting as the chief advisor to the Board of Trustees & Chief Officers, you'll facilitate effective decision-making & ensure governance processes are embedded throughout the organisation. You'll oversee risk management frameworks, statutory returns, & Trustee development. You will also manage the internal Legal Advisor, & ensure efficient resolution of corporate governance & legal matters.
About You
You'll have a degree (or equivalent experience) with qualifications in corporate governance. You'll also bring substantial experience in corporate governance, risk management, & report writing for Board & Committee papers. With a deep understanding of regulatory frameworks, you'll possess excellent analytical, negotiation, & communication skills with the ability to advise at Board level. Experience within the charitable or healthcare sector is desirable.
Main Duties of the Job
* Act as the chief advisor to the Board of Trustees and Chief Officers Team on all Corporate governance matters.
* Ensure the Board of Trustees and its Committees are properly constituted, operated, and supported in line with BPAS Articles of Association, legal frameworks, and that governing documents are regularly reviewed and maintained.
* Lead the annual review and updating of Standing Orders, Financial Instructions, and Terms of Reference, ensuring compliance with regulatory requirements.
* Ensure that organisational policies and procedures, and delegated authorities, are in place, acted upon, and reviewed as necessary.
* Oversee management of the Board Assurance Framework, owning the Risk Management Framework to ensure these systems deliver assurance.
* Contribute to the design, implementation, and monitoring of internal key performance and risk indicators and metrics enabling BPAS to understand and improve its performance in relation to quality, risk, business continuity, safety, and compliance.
* Advise the Board about legal, constitutional matters whilst also overseeing the arrangement of external legal advice where necessary.

On Call: All members of the Senior Operating Team will be required to participate in an on-call rota. The On-Call policy and procedure is being reviewed and revised, however it is envisaged that participation will involve being available to receive emergency / on-call telephone calls up to 9pm Monday to Friday and on Saturdays and Sundays approximately 4 times per year.
