Head of Company Secretarial Department – Shrewsbury, SY3
A successful property company is looking for a Head of Company Secretarial Department based in Stratford, E15. You will be responsible for leading and managing the company secretarial team, ensuring the efficient and compliant execution of all legal and administrative responsibilities. You must be able to handle your own workload, keep on top of any issues, and prioritize jobs.
Key tasks of this role include:
* Leadership & Management:
* Leading, mentoring, and developing the company secretarial team, ensuring high performance and professional growth.
* Allocating workloads efficiently to ensure all tasks and deadlines are met.
* Acting as the primary point of contact between the CoSec department and senior management.
* Implementing and maintaining best practices for company secretarial processes.
* Ensuring the team operates efficiently, delivering timely and accurate documentation and filings.
Company Secretarial Duties:
* Ensuring the timely and accurate completion of all company secretarial operations, including LPE1 forms, pre-sales, and completion processes.
* Maintaining up-to-date company records, including director appointments, resignations, and statutory filings.
* Ensuring compliance with all relevant company law and regulations.
* Liaising with legal representatives, conveyancers, and clients on pre-sales and completion matters.
* Overseeing the maintenance of statutory registers and documentation.
* Ensuring all changes to company structures and directorships are recorded accurately and in compliance with legal requirements.
* Managing and processing consents (to let, alter, pets), ensuring compliance with leasehold obligations.
* Overseeing restrictions and ensuring compliance with legal and leasehold requirements.
* Handling the registration of properties and interests at the Land Registry.
* Reviewing and providing advice on the Memorandum and Articles of Association.
* Drafting and managing special resolutions and deeds of covenant.
* Managing ceasing and handover procedures efficiently and accurately.
* Overseeing the issuance of landlord certificates in accordance with legal obligations.
* Supporting the administration of AGMs, board meetings, and other governance-related meetings, including preparing agendas, minutes, and resolutions.
* Drafting and reviewing company secretarial documents, including shareholder agreements and governance policies.
* Providing guidance on regulatory and legislative changes affecting company operations.
* Setting up and striking off Residential Management Companies.
Regulatory & Compliance:
* Ensuring all statutory filings are completed in a timely manner.
* Providing governance support and advice to directors, ensuring adherence to company responsibilities.
* Keeping up to date with legislative and regulatory changes affecting the industry and implementing necessary adjustments.
* Supporting internal audits and regulatory inspections.
* Ensuring compliance with GDPR and data protection regulations.
Stakeholder Engagement:
* Acting as a key liaison with external advisors, regulatory bodies, and internal stakeholders.
* Communicating effectively with clients, leaseholders, and property managers on company secretarial matters.
* Providing guidance and training to internal teams on company secretarial best practices.
* Working closely with legal teams and other departments to ensure seamless operational processes.
The Successful Applicant will need to possess the following skills:
* Previous experience in a senior company secretarial role, preferably within the property management or real estate sector.
* Desirable Skills - Experience working with property management or residential leasehold companies.
* Strong knowledge of company law, governance, and statutory compliance.
* Experience managing a team and driving performance in a company secretarial function.
* Excellent organisational skills with the ability to manage multiple tasks and deadlines.
* Strong communication and stakeholder management skills.
* High attention to detail and accuracy.
* Proficiency in using company secretarial software and Microsoft Office Suite.
* Ability to interpret and apply legal and regulatory requirements effectively.
* Strong problem-solving skills and ability to work under pressure.
* Desirable Skills - Chartered Secretary qualification (ICSA/CGI) or equivalent experience.
* Desirable Skills - Legal qualification (LLB, LPC, or equivalent) would be highly advantageous.
* Desirable Skills - Understanding of conveyancing processes related to leasehold properties.
* Desirable Skills - Familiarity with compliance reporting and regulatory submissions.
Salary range will be: £45,000
The hours will be: Monday to Friday 9am – 6pm
