Governance Manager
Our client, a highly reputable enterprise organization owned by the government, is hiring a Governance Manager to help develop, improve, and provide governance structure and strategies across our client's diverse estate. The ideal candidate will have direct experience in 'best practice' for corporate governance in a quasi-government, large corporate entity.
This is an exciting role where you will provide governance structure to the Company Secretary and Senior Governance Manager, engaging with senior stakeholders, C-Suite members of staff, and third-party vendors on a daily basis. Our client is offering a basic salary of £40,000 + 15% bonus + excellent benefits, to be based in Birmingham on a hybrid basis.
Core Responsibilities:
1. Support the Company Secretary and Senior Governance Manager to develop, implement, and improve the corporate governance structure and processes, managing operational support provided to governance entities within our client to assure high-quality outcomes.
2. Provide a full range of company secretarial and related services for our client, its Board, Board Sub-committees, the Executive, and its sub-committees to minimize exposure and risk.
3. Contribute to and assist with the review of governance arrangements for effectiveness and efficiency.
4. Participate in team meetings to provide specialist guidance on governance, assist colleagues, and enable the implementation of policy, projects, and change initiatives.
5. Support the review of the Company Secretariat information on Interchange/IMS and our client's website to maintain accurate version control.
6. Assist with the coordination of the Company Secretariat contribution to the Annual Report and Accounts.
7. Assist with scheduling the intricate annual corporate meeting schedule (circa 200+ meetings).
Skill Experience:
1. An experienced Governance Manager or Assistant Company Secretary with experience within a Company Secretariat or Governance function in a private or public sector organization.
2. Experience of providing committee or board management services to given deadlines, with minimal supervision, including effective minute-taking, action tracking, and agenda setting.
3. Experience in implementing governance processes for matrix-type organizations with multiple stakeholders.
4. Experience in drafting and presenting reports and briefings to a senior executive audience.
5. Experience in dealing with and successfully influencing key individuals at all levels.
6. Experience in managing quality control for content and presentation of papers to the Board and committees.
