Miller has a vacancy for an Assistant Company Secretary. This role is to play a valuable role in providing a prompt, accurate and effective company secretarial service to the Miller group, and to maintain and promote a proportionate and suitable governance framework for the group that embraces expectations of subsidiary companies and the ambitions and appetite of the Group Board.
The Role
•Operate in accordance with the agreed corporate governance framework.•Provide input to and assist in maintaining a corporate governance framework and the cyclical processes that form part of that framework (eg Terms of reference).
•Take responsibility for the maintenance of statutory records and books of group companies using Diligent Entities.
•Liaise with overseas agents/service providers engaged to provide company secretarial services for overseas companies to ensure expected standards and services are delivered on a timely basis, including arranging board and general meetings of companies, preparing or overseeing the preparation of board packs using Diligent Board books and providing services in group M&A activity.
•Timely and accurate submission of all corporate details/records and statutory filings, in the UK notably confirmation statements, directorships and accounts filings and the equivalent (including the filing of auditor’s reports and AGM resolutions etc) for overseas companies. This includes liaison with Tax and Treasury in Finance regarding the filing of tax returns.
•Provide advice and support to directors of group companies, including the nominated Chairs of each company/Committee, in fulfilling their own duties and responsibilities for ensuring forums operate:
oin accordance with applicable requirements,
oefficiently and effectively.
•Where required, prepare and deliver draft Minutes and Resolutions across all group entities.
•Responsibility for horizon scanning to identify and report on applicable changes in legislation.
•Developing and maintaining the function’s own policies and procedures.
•Provide appropriate training and/or material to newly appointed directors and thereafter on a cyclical basis, including keeping directors updated on statutory duties and expectations.
•Maintain relationships with external providers engaged to assist the operation of the function and liaise with the likes of auditors and other advisors+.
•Comply with any external rules and requirements imposed on individuals performing their role at Miller, such as Lloyd’s byelaws and FCA rules.
•Promote Miller brand and values to enhance Miller’s reputation in the market.
