Reporting to the Head of Company Secretariat, you will be involved in providing high quality advice on co sec matters to the company's entities, board members and senior stakeholders. You will help co-ordinate and develop corporate governance policies, ensure the meeting of regulatory and statutory requirements and manage the Group's governance systems. Of particular interest will be those with co sec experience gained within a listed or regulated business. Supporting the Head of Company Secretariat, you will focus on co sec and governance mainly to the regulated boards and committees. You will: Service the regulated and unregulated Board meetings and Board Committee meetings Liaising with Board Directors; coordinating and compiling meeting packs and papers, attending and drafting minutes of meetings and actions arising from the Boards and Committees. Drafting and keeping up to date the Boards and Committees annual agenda frameworks. Monitoring the quality of Board and Committee papers and processes, ensuring deliverables are met and actions are followed up in a timely manner. Drafting and keeping up to date Board policies and procedures and amending where appropriate in response to changes in guidelines, legislation or regulation. Completing internal processes and statutory/filing requirements arising from Board decisions, completing capital injections/share allotments, appointing and removing directors, filing annual reports and accounts and confirmation statements are completed. Ensure compliance with the Companies Act and monitor external developments on all matters of corporate governance and any relevant legislation, regulation or guidance which may affect the Group. Provision of governance advice to the Boards and Committees on a variety of matters including conflict management, succession planning and inside information as required. Assist the Senior Management team where required with respect to compliance with Senior Managers and Certification Regime. Attendance at Board Meetings/Committees as and when required on behalf of the Head of Company Secretariat and/or the Assistant Company Secretary-Board Support. Assist the Head of Company Secretariat with the annual board effectiveness assessments. Facilitating Board training, onboarding and Board inductions. Represent the Secretariat on corporate projects and ensure agreed governance standards are met by the business.
