Indigo Independent Governance is an independent specialist provider of corporate governance and company secretarial services to listed and large private companies, including several household names. Our vision is to be the leading independent voice of governance.
Since our launch almost 3 years ago, the team and client-base has expanded to meet demand from our diverse client base. We’re now looking for a Director of Governance Services to help us in the next phase of our growth.
This is a senior leadership role where you can truly demonstrate your skills, experience and knowledge with significant room for further progression.
With our clients: • build relationships, getting involved in thought-provoking and varied projects and demanding transactions across different sectors • pro-actively engage with our clients and client board members, individuals within their organisation and other external advisers to nurture positive and valued relationships • meet and exceed our clients’ expectations with high quality work, advice and guidance • serve as Company Secretary of our client companies, providing trusted assistance and advice to our clients’ boards, including shaping the agendas and meeting papers, attending and minuting meetings and offering follow-up support • provide advisory guidance on regulatory compliance and corporate governance issues and ensure our clients’ compliance needs are met, whether that is the requirements of the listing rules, MAR etc or more general Companies Act matters.
With the wider team: • be a role model for demonstrating ethical, innovative and pragmatic governance solutions to influence the progression of the wider team, learning together as we grow • contribute to the success of Indigo through business development activities, developing relationships with prospective clients and preparing requests for proposals • demonstrate leadership and share your expertise with colleagues to ensure all work is of the highest standard and to help develop and nurture the skills, knowledge and experience of more junior team members.
Your skills and experience • A Chartered Governance Professional with 10 years’ relevant experience, including at least five years’ working at a senior level (e.g. senior manager / deputy secretary), ideally you will have experience in a regulated industry (e.g. insurance, asset management, banking, pensions etc). • Experience of working with boards and committees, including in a listed environment is essential, along with comprehensive knowledge of the Companies Act 2006, listing rules, corporate governance best practice and other related regulatory requirements. • You will have experience of managing complex and/or international groups of companies and have a good grasp of remuneration related knowledge and operation of share incentive schemes. • You will be confident operating in a client-facing environment and be commercially minded, with a good understanding of business dynamics. • You will enjoy working as part of a team and helping others to achieve their potential through supervisory work, using a positive and growth mindset and commitment to continual professional development. • We offer a competitive salary, bonus arrangement and other benefits.
This role would ideally suit a candidate based in Essex for ease of travel into the office and who thrives in a team environment. This is not a remote working role.
