The Company Secretarial team plays a pivotal role in ensuring that the client and the Board adhere to good corporate governance practices and comply with associated laws and regulations. You will facilitate excellent decision-making across the business, simplify complex processes, and contribute to the client’s success. Your responsibilities will include managing and leading corporate governance in the region, providing company secretarial services, and collaborating with others offering similar services globally. Responsibilities: Manage corporate governance processes, ensuring compliance with statutory requirements for companies, branches, joint ventures, and investments. Organise and coordinate board meetings, including drafting agendas, board minutes, shareholder resolutions, and associated documentation, ensuring timely follow-up on actions. Maintain corporate records and statutory filings, ensuring all documentation is up to date and aligned with regulatory requirements. Oversee governance-related projects, including entity rationalisation and liquidation processes, providing direct support to UK entities and liaising with international teams where necessary. Advise on director duties and responsibilities, supporting new director inductions and ensuring compliance with governance standards. Ensure adherence to governance frameworks, reviewing policies in line with legislative or business changes and recommending updates where necessary. Act as a key point of contact for governance professionals outside the UK to maintain consistency and cost-effective governance practices. Monitor and maintain the Blueprint database, ensuring accurate corporate documentation and statutory filings. Stay informed on corporate governance regulations and legislation, ensuring compliance and escalating risks where required. Contribute to knowledge sharing and continuous improvement within the governance team, supporting the enhancement of processes and training initiatives. Provide support to senior governance professionals, including the Corporate Governance Legal Director and Company Secretary, on key projects and strategic initiatives. Essential Criteria 5 years company secretarial experience, ideally in a FTSE 350 listed organisation or professional services environment. Demonstrate a thorough knowledge of company secretarial matters commensurate with the position Good knowledge of company law and corporate governance regulation and legislation Highly organised, able to prioritise and plan, excellent attention to detail and reliable to produce accurate work Work under pressure and consistently to a high standard Be a self-starter and able to work autonomously Uses initiative and is pro-active Good analytical and problem-solving skills Excellent communications skills, both written and verbal Persuasive, discreet and has strong stakeholder engagement skills with a wide range of people at all levels, including senior executives and Board members Making complex, technical governance concepts simple for other stakeholders to understand, this includes those located outside of the UK Desirable Criteria ICSA qualified (not essential for someone who has number of years’ experience gained a FTSE listed company secretarial environment) Knowledge of Blueprint or equivalent system (desirable) ADDITIONAL INFORMATION As a member of an ISO Compliant center, the candidate will be required to follow the policies and procedures on Information Security Management System in place at the Center of Excellence and globally at Factor.
