The Role Tradeteq are seeking a highly skilled Senior Asset Management and Principal Investments Lawyer to join our London team. The successful candidate will play a key role in providing strategic legal support across our private debt asset management and principal investment business. This role requires deep expertise in asset management, alternative investments, and structuring complex transactions, as well as a strong understanding of regulatory frameworks across multiple jurisdictions. Experience in receivables finance, trade finance, and working capital securitisations is essential. Legal Advisory and Structuring Advise on structuring and execution of complex investment strategies, including receivables finance, trade finance, and working capital, and other alternative investments. Draft, review, and negotiate investment management agreements and other investment documentation, co-investment agreements, and subscription documents. Provide counsel on direct investments, secondary transactions, and joint ventures. Advise on the structuring and execution of trade receivables and other private debt and real-asset securitisations and repacks. Draft transaction documents for issuances of notes by a Luxembourg SPV. Liaise with the Luxembourg SPV’s third party service providers to ensure best execution of transactions. Develop and maintain in-house transaction-related forms and templates. Participate in client pitches and meetings. Review of ad-hoc commercial agreements. Regulatory Compliance Ensure compliance with applicable laws and regulations, including AIFMD, MiFID II, SEC, FCA, and other regulatory regimes. Monitor and advise on changes in the global regulatory landscape impacting asset management and principal investment activities. Collaborate with compliance teams to implement and maintain robust policies and procedures. Risk Mitigation and Governance Identify, assess, and mitigate legal risks associated with investment structures and transactions. Support internal governance committees by providing clear, actionable legal guidance. Stakeholder Engagement Partner with product and business teams, external counsel, and third-party service providers to manage the full lifecycle of investment transactions. Represent Tradeteq in negotiations with counterparties, regulators, and industry bodies. Provide strategic advice to senior leadership on legal matters impacting business strategy. The Skills required Bachelor’s degree in Law Minimum 10 years of post-qualification experience in a top-tier law firm or large investment fund, asset manager, or private equity firm. Demonstrated expertise in structuring, negotiating, and managing complex investment transactions. Proven experience working with fund structures and other innovative financial frameworks. Strong knowledge of global regulatory regimes, particularly AIFMD, SEC, and MiFID II. Strong understanding of the latest regulatory developments influencing the private debt industry, particularly in Europe and the United States. Proven ability to manage multiple stakeholders and work collaboratively across jurisdictions. In-depth knowledge of global investment and fund jurisdictions, including Luxembourg, Delaware, and the Cayman Islands. Proven evaluation skills in evaluating diverse tax considerations to identify and implement suitable financial structures. Strong commercial acumen with a deep understanding of investment products and markets. Exceptional drafting, negotiation, and analytical skills. Strong interpersonal skills and the ability to communicate effectively with both legal and non-legal stakeholders.
