Role:
* Provide Company Secretarial support to the Group and it's subsidiaries
* Develop and maintain the Corporate Governance and Policy framework
* Ensure the group complies with its legal, regulatory and constitution obligations (include UK Corporate Governance Code, the PRA and the FCA)
* Manage the AGM - including the preparation of notices and resolutions
* Maintain statutory registers and filings annual returns
* Support the Chair and ensuring that the Board functions efficiently and effectively
* Arrange Board and Committee meetings
* Advise directors on their duties and ensure that they comply with corporate legislation and the articles of association of the company

Essential:
* Excellent knowledge of the UK Corporate Governance Code, the Companies Act 2006 and ideally the FCA and PRA
* Strong working background in a Company Secretarial role (ideally from a regulated sector)
* Outstanding stakeholder engagement and influencing skills
* Demonstrable experience of managing Board and Committee meetings
* CGI Qualified
* People management experience
