This is a 6-month contractual role where you will provide support & assistance in the company secretariat function across the Group, during the transitionary period and period of high workload, also a range of assistance ensuring operational support, statutory & good practice requirements are met, in line with business requirements & strategy.
You’ll be responsible for:
* Managing ensuring statutory requirements are met in maintaining corporate records and statutory filings.
* Providing a range of support & assistance with the delivery of the full range of corporate secretarial support across both engines (consult and construct) whilst ensuring that issues are promptly escalated to the company secretary.
* Supporting with the registration and closure of all corporate entities, including the circulation of the due diligence checklist in relation to any closures.
* Managing the set-up, closure and KYC requests for bank accounts in the UK and internationally, ensuring that the mandate signatories are kept up to date.
* Interacting & collaborating with third party advisors.
* Monitoring & ensuring director changes, power of attorney’s, intracompany loan agreements and dividends are captured correctly & necessary paperwork is prepared & executed & recorded on diligent entities system.
* Collaborating & working with team members providing operational delivery of team/regional strategy etc.
* Ensuring & implementing best practice in meeting statutory requirements, maintaining corporate records and companies house filings.
* May be required to attend, participate in, and minute sub board and or committee meetings.
* Ensuring statutory financial statements are filed on time for all UK subsidiary companies and the international construction companies.
* Providing management support in matters relating to banking and KYC.
* Managing audit of data held on diligent entities group corporate database system.
* Assisting & supporting with legal entities rationalisation project and ensure process is followed to clear companies for dissolution.
* Providing assistance & support in restructuring Co Sec electronic filing systems and standardise filing conventions.
* Seeking opportunities for continuous improvements/improving working processes.
* Developing effective working relationships with both internal and external stakeholders. Manages portfolio stakeholders.
* Utilising sound technical/functional knowledge & expertise in company secretariat function & provides a range of assistance, assists in the delivery of strategy for the function.
* Working collaboratively towards the common goal of net zero carbon transition and share responsibility for the proactive identification and management of the associated carbon emissions and reductions during the delivery of work.
You’ll need to have:
* Commercial and strategic mindset.
* Good grasp of corporate governance codes and principles.
* Good grasp of the Companies Act 2006.
* Sound technical knowledge & expertise of company secretariat discipline/domain.
* Chartered governance institute student member or fully qualified with at 24 months on the job experience (or equivalent).
* Good communication skills and manages internal stakeholders.

* Experience in using diligent software.
* Able to interact with stakeholders across the business.

You’ll also have:
* Previous relevant company secretarial experience.
* Law degree (or equivalent).
