Job summary One of five independent directors, having experience of clinical, academic, commercial and employment matters or the practice of dental care or other appropriate experience. The Non-Executive Board Director will work alongside the Chair of the CIC, other nonexecutives, executive directors, University representatives as equal members of a unitary Board. They will bring a range of professional expertise as well as clinical, financial, community understanding and experience to the work of the Board. Corporately, as a member of a unitary Board, they will contribute to a wide range of areas. They will be responsible for specific areas relating to Board governance and oversight, drawing on their professional knowledge and expertise. Main duties of the job The Non-Executive Board Director will: Need to be available for CIC meetings (public and seminars) Need to be available for agreed sub-committee meetingsAttend and participate in visits and virtual sessions with the CIC Operational and Delivery Teams Attend 75% of meetings each year, ensuring that all papers are read prior to the formal meetings Ensure constructive contributions are made at the meetings by all members Be expected, as agreed with the Chair, to attend the CIC’s Annual General Meeting and other assurance meetings as mutually agreed by the Chair. Governance and Assurance Collectively ensuring that the CIC is compliant with its constitution and contractual obligations, holding other members of the Board and CIC to account through constructive, independent, and respectful challenge. Maintaining oversight of the delivery of CIC operational plans, ensuring expected outcomes are delivered in a timely manner through the proportionate management of risks. Ensuring that the CIC operates to deliver its functions in line with all its statutory duties, contractual obligation and fully compliant with the standards set by the relevant regulatory bodies. People and Culture Supporting the development of other Board members to maximise their contribution. Providing visible leadership in developing a healthy and inclusive culture for the CIC, which promotes diversity, encourages, and enables system working and which is reflected and modelled in their own and the Board’s behaviour and decision-making.
