Overview:
We are seeking a highly organized and detail-oriented Legal Assistant to support our Global Corporate Finance and Securities (CF&S) practice group. You will be expected to be on-site 4x days a week in our London office. The ideal candidate will be fluent in Greek and have a law degree from a university in Greece and/or experience in a legal or paralegal role in Greece. The role will involve assisting lawyers within our team with a variety of corporate finance and securities matters, including securities offerings, IPOs, debt offerings, and regulatory compliance. No experience is needed, and we will take work visas.
Key Responsibilities
Securities Offerings and Transactions
* Assist with the preparation and filing of documents for public and private securities offerings, including registration statements, prospectuses, and offering memoranda.
* Assist in the preparation of closing documents and closing checklists related to capital markets transactions.
Legal Research and Analysis
* Collate and analyze market precedents.
* Collaborate on the upkeeping on CF&S’ knowledge management systems, databases and template.
* Conduct legal research on securities regulations across European markets, and other applicable regulations.
* Stay up to date on changes in law and industry best practices.
* Assist the Business Marketing team in summarizing ongoing and completed deals within the CF&S.
.Document Management
* Maintain and organize client files, legal documents, and transaction records.
* Assist with due diligence processes by gathering, reviewing, and organizing documents for securities offerings and other transactions.
Regulatory Filings and Compliance
* Assist with the preparation of regulatory filings.
* Support the team with compliance matters, including ensuring adherence to securities laws and regulations during capital raising activities.
Client and Transaction Support
* Prepare and track client communications and engagement documentation.
* Proactively maintain client communication throughout ongoing deals.
* Coordinate with internal and external parties, including clients, attorneys, financial institutions, and regulatory bodies, to ensure smooth execution of transactions.
* Manage transaction timelines and ensure all necessary documentation is in place for timely execution.
Administrative Tasks
* Draft and maintain reports, memos, and summaries for attorneys and clients.
* Prepare and file corporate documents, including articles of incorporation, by laws, and corporate resolutions.
* Regularly participate in the CF&S’s team weekly meetings, documenting upcoming deals, initiation, and conclusion of specific workstreams.
* Represent CF&S practice in special projects and other duties, as assigned.
Experience and Requirements
* Fluent in Greek language skills, also in light of the practice group’s client base.
* Graduate or undergraduate law degree from a Greek university and/or previous experience in similar legal or paralegal role in Greece.
* Good understanding of Law Firm client matter lifecycle processes, from matter inception through to billing.
* Competent in MS Office applications.
