Senior Company Secretarial Assistant Why We're Hiring: We are looking for a diligent and experienced Senior Company Secretarial Assistant to join our team and contribute to the delivery of outstanding company secretarial services to WPP plc and its global subsidiaries. This role offers a significant opportunity to use your expertise and contribute to the effective governance framework of a leading global organisation. What You'll Be Doing: As a Senior Company Secretarial Assistant, you will meaningfully contribute to ensuring compliance and upholding corporate governance standards. Your responsibilities will include: Subsidiary Governance Management: Overseeing governance and administration for a portfolio of WPP subsidiaries, globally. Ensuring the accurate maintenance of statutory registers, minutes, and filings for UK entities. Database Integrity: Maintaining GEMs database compliance, conducting audits, ensuring data integrity and spearheading continuous improvement and process innovation. M&A Support: Providing expert support for M&A transactions and the integration of new companies, advising on subsidiary governance considerations. Reporting & Disclosure: Supporting on the preparation of the Annual Report, US Form 20-F, and stock exchange announcements, ensuring accuracy and adherence to regulatory requirements. Regulatory Compliance: Ensuring proactive compliance with UK and US governance requirements Shareholder Relations: Managing shareholder inquiries related to dividends, voting, and share plans, ensuring timely and accurate responses. Project Leadership: Leading and contributing to key projects such as legal entity simplification and key RFPs, driving successful project outcomes. What You'll Need: Qualifications: Fully Corporate Governance Institute qualified (or equivalent) with substantial practical experience. Knowledge: Comprehensive knowledge of company law, administration, and corporate governance best practices. Strong understanding of UK/US listed company requirements. Technical Skills: Highly data literate and proficient in the use of relevant software and systems (GEMs, Diligent, insider list tools).
