Apex has an exciting opportunity for someone with professional services experience seeking a new role in London. We're looking for a full-time Corporate Secretarial Manager - Corporate Services, and the hybrid role comes with an attractive salary and benefits package.
As a Corporate Secretarial Manager, you will primarily be responsible for providing company secretarial and corporate governance services to a number of Apex’s largest clients, principally investment funds and underlying corporate vehicle structures.
During your first few weeks in this corporate secretarial role, you can expect to:
1. Manage a varied client portfolio, including all aspects of administration and company secretarial matters.
2. Build a detailed understanding of client portfolios, entity-specific requirements, and applicable statutory regulations/requirements and act as a source of guidance to other team members.
3. Prepare and implement customer-specific procedures in relation to the governance and reporting requirements for specific client structures.
4. Attend client board meetings where necessary and review minutes/records prepared by administrators and trainee administrators.
5. Assist or lead the transaction management process for transactions such as share issuances or buybacks, corporate group restructuring, or refinancing.
To succeed in this role, you will need to be a qualified or part-qualified ICSA or equivalent with at least 5 years of company secretarial experience, preferably in the financial services industry. You will also require:
1. Working knowledge of UK Company law specifically relating to the obligations of UK companies and the Company Secretary’s role.
2. Ability to communicate effectively with all levels within the business in a clear and articulate manner and with an understanding of continual improvement processes.
3. Ability and motivation to assimilate new skills, particularly willing to learn key company secretarial competencies.
4. Excellent communication, written management, and organisation skills.
5. Ability to prioritise and manage several tasks.
