Job Description
Managing Partners Capital Limited is the UK subsidiary of Managing Partners Group ("MPG"), an international multi-disciplined fund management group.
The Legal and Compliance Administrator's role is to provide corporate services support and compliance services to the group and also a wide range of offshore Investment Funds that are managed by the group. Reporting to the Operations & Investment Manager and Directors, this is a full-time role that would suit an experienced individual who has previously or is currently working in a similar role and environment. Whilst primarily administrative, all staff are encouraged to utilise their respective skills and abilities in other areas of the company's activity to further their own career development. This position will involve working as a member of the Corporate Services Team based in mainland Europe.
Key Responsibilities
* Secretarial Support:
o Organisation of Board meetings at varying locations
o Assist with associated travel arrangements
o Production, collation and circulation of associated documentation
o The taking and production of meeting minutes to a high standard
o Organisation of Investment Committee meetings
o Attendance and contribution to Investment Committee meetings
o Drafting of Director agreements
o Drafting of consultancy and employee agreements
o Drafting of business introducer agreements
* Corporate Services:
o Creation and updating of Company terms of business documentation
o Drafting of non-disclosure and confidentiality agreements
o Production of Investment Management and Advisory agreements from draft to final versions
o Preparation and circulation of Fund resolutions
o Arranging the execution of resolutions and agreements
o Maintenance of Company & Fund Summary sheets
o Assist with the maintenance of Offering documents & supporting resolutions
o Assist with the incorporation of new companies
o Assist with the distribution of shareholder correspondence
o Ensure high quality and continuous improvement in service delivery
o Maintenance of Group Organogram
o Drafting and submission of Fund subscription documents
o Assist with the opening of corporate, banking and trading accounts
o Assist with the formation of structures
o Communicate competently with external counterparts
* Compliance:
o Compliance review of Group and Fund websites
o Produce and maintain Company and Fund disclaimers
o Compliance Review of marketing and promotional material
o Compliance Review of Fund application documents
o Assist to ensure that corporate records are maintained accurately
o Assist with statutory filings
o Creation and maintenance of internal & external due diligence documents
Requirements
* Abilities:
o A very good eye for detail with a systematic approach to work
o Previous experience of working in a busy office environment
o Previous Corporate Services experience
o Understanding of corporate governance
o Understanding of compliance
o Understanding of Investment Fund structures
