Job Description
An exciting contract (3 months) opportunity has arisen for a Company Secretary to join our customers Legal Affairs Team, providing company secretarial services.
The ideal candidate will bring experience in the financial services sector, a strong understanding of corporate law and governance, and excellent organizational skills.
Key Responsibilities
1. Corporate Governance: Provide secretarial services to the Board, Audit, Risk, and Remuneration committees.
2. Meeting Coordination: Organize Board & committee meetings, Annual General Meetings, issue notices, draft papers, and track follow-up actions.
3. Director Support: Advise directors on their duties under the Companies Act, manage director appointments and resignations, and support regulatory applications.
4. Documentation: Review and update corporate governance documents, provide input for regulatory documentation, and oversee corporate disclosures.
5. Legal Entity Management: Handle incorporations, corporate restructures, liquidations, share allotments, and maintain statutory registers & records.
6. Compliance: Ensure compliance with legislative, regulatory, and group policy requirements, and keep abreast of legal and regulatory changes.
