Head of Legal Company Overview Started in 2017, ONE is an innovative provider of financial services which leverages new technologies to provide services to customers who have traditionally been overlooked and underserved by existing institutions. Our two core propositions are ONE Trading and ONE Payments. ONE Trading provides OTC crypto trading services for High Net Worth individuals, corporates, and institutional clients. ONE Payments is the payments and banking division of the group. We have developed and manage our own proprietary payments platform as well as a global network of partners and clients. Position Overview We are seeking a Head of Legal to oversee commercial contracts, customer agreements and other legal matters that arise within the group, while supporting the Compliance Team to ensure regulatory compliance across both the payments and cryptocurrency business units. The Head of Legal will report to the Group COO and will be responsible for providing legal counsel to the senior leadership team, supported by and managing a team of two. They will also work closely with the Group Head of Compliance to support COO in regulatory-orientated matters. The ideal candidate will have a strong background in payments- and cryptocurrency law and regulation such as the UK PSRs, EU MiCA, GDPR and international AML regulations, and a pragmatic, commercially-minded approach. They will use all of these to manage the Legal Team’s “usual” workload of supplier- and customer-facing commercial contracts, corporate governance, occasional employment matters, etc., as well as in collaboration with Compliance and other teams on cross-departmental projects. This will be a full-time role, primarily working from home with occasional team office days in London. Key Responsibilities Commercial Contracts and Customer Agreements Review, draft, and negotiate commercial contracts for services taken by the group. Oversee the group’s customer-facing contract library, ensuring ongoing compliance with applicable laws and risk management practices. Corporate Governance Oversee corporate governance matters, working with the paralegal to ensure compliance with company law and corporate filings. Provide legal input into board meetings and assist with governance-related documentation. Horizon-scanning for changes relevant to the group and its documentation. Corporate Expansion Support the group’s expansion into new products and new jurisdictions. Overseeing creation of new entities and winding-up of any that are obsolete. Drafting new Service Terms for new products and/or new jurisdictions. General business support Supporting other teams with their legal requirements, including commercial, people, regulatory, etc. Any other legal matters that may arise. Personal and Team Management Lead and mentor a small legal team (consisting of a paralegal and a 6-yr PQE non-UK-qualified lawyer), ensuring their professional development and the high quality of the department's output. Open and proactive collaboration with other departments, providing support where needed to help advance projects across the business. Manage relationships with external legal counsel and local corporate service providers in multiple jurisdictions. Key Expectations Regulatory Expertise: In-depth knowledge of the laws and regulations governing payments (e.g., UK PMRs) and cryptocurrency (e.g., MiCA, AML, GDPR). Commercial Acumen: Ability to provide practical, business-oriented legal advice on contracts and risk management. Leadership: Capable of managing a small legal team and working closely with senior stakeholders. Adaptability: Proactive in staying ahead of regulatory changes in the fast-evolving payments and crypto sectors. Qualifications & Experience Qualified lawyer (preferably UK) with over 8 years’ experience, of which at least 4 should be in-house, specializing in financial services, fintech, or cryptocurrency. Proven track record in commercial contract negotiation, legal risk management, and corporate governance. Familiarity with international legal issues and cross-border regulatory compliance.
