Job Description
Purpose of the role
To ensure that the bank's corporate governance (including public disclosures) and the creation and periodic review of legal documents in accordance with contractual arrangements policy.
Accountabilities
* Development and implementation of best practice legal strategies for risk management and compliance.
* Legal advice and support to the bank on a wide range of legal issues, including disclosure and financial reporting, company and corporate law issues, corporate governance, Group Treasury securities issuances and programmes, regulatory capital, recovery and resolution planning, and disclosures and contractual arrangements with financial utility providers.
* Representation of the bank in legal proceedings related to company and corporate legislation and regulatory requirements, including litigation, arbitration, and regulatory investigations.
* Creation and review of legal documents such as public disclosures, results announcements, securities offering documents, contracts, policies, and procedures to ensure compliance with applicable laws and regulations.
* Legal research and analysis to stay up to date on changes in laws and regulations that may impact the bank's corporate governance and related activities.
* Developing and delivering training programmes to educate employees on legal and regulatory requirements.
* Pro-active identification, communication, and provision of legal advice on applicable laws, rules, and regulations (LRRs).
Director Expectations

Role Focus
The primary focus of the role is to lead execution of, advise on, and manage both existing and new securitisation platforms by supporting Treasury's Principal Funding and Securitisation teams. This involves ensuring that Legal has a strong strategic partnership with the businesses.
* Work on forward flow deals, the firm's collateral arrangements, and complex regulatory issues.
* Provide regular briefings to senior members of the Legal function around the risk profile of the business.
* Collaborate closely with external counsel to understand and mitigate risk.
* Collaborate with colleagues across the Legal Function and other areas to ensure subject matter experts are involved.
* Take ownership for existing platforms and act as a legal coverage Lead within the firm's issuance governance process.
Stakeholder Management and Leadership
* Manage stakeholder relationships with various Treasury business teams involved in securitisation.
* Drive through solutions while appropriately mitigating relevant risks for Barclays.
Essential Skills/Basic Qualifications:
* Qualified lawyer (preferably English law) with strong experience in securitisation.
* Proven experience in governance committees and managing control processes.
* Detailed knowledge of the UK regulatory framework.
* Highly proactive, organised, and resourceful.
* Excellent communicator capable of analysing complex issues.
* Capable of delivering creative solutions under pressure.
Desirable Skills/Preferred Qualifications:
* Experience of Residential Mortgage Backed Securitisation and significant risk transfer securitisations.
* Familiarity with offering and listing rules, central bank facilities.
* Knowledge of derivatives and/or the ring-fencing rules.
