Job Title: Assistant Company Secretary (12 month FTC) Location: London Job Type: Full-time Reports to: Chief Risk and Sustainability Officer Our client, a global leader in real estate asset management within the student housing sector, is dedicated to creating a world-class portfolio We are currently seeking an Assistant Company Secretary to work closely with the Global Head of Risk & Sustainability. This role is critical in providing high-quality company secretarial services across the organisation and its affiliates, reinforcing corporate governance and compliance during a period of substantial growth. The position offers an excellent opportunity to collaborate with senior stakeholders, enhancing and embedding company secretarial practices throughout the organisation. Key Responsibilities: Board and Committee Support : Support the governance and administration of the Board, its committees, and all Group entities. Manage statutory filings, maintain registers, and oversee filings for Group entities. Maintain and update Group structure charts and respond to KYC requests. Corporate Governance : Manage and maintain management company entities through the Group’s entity management platform. Lead statutory filings, implement director changes, and respond to auditor, KYC/AML, and general company secretarial queries. Entity Management : Oversee and maintain fund and property company entities via the Group’s entity management platform. Collaborate with third-party fund administration providers to deliver consistent company secretarial services and monitor performance. Corporate Structuring : Form and manage corporate vehicles aligned with tax guidance and maintain corporate structure charts. Risk & ESG Committees : Act as secretary for the Risk and ESG Committees, including scheduling, preparing agendas, coordinating documentation, and recording minutes. Collaborate with committee members to prepare Group Risk Reports and matrices for Board submission. Essential Qualifications & Experience: Company Secretarial Qualification : ICSA/CGI certification (or working towards it). Experience : Minimum 5 years in a company secretarial or governance role. Board Support : Proven track record supporting board and committee functions in a fast-paced environment. Stakeholder Engagement : Strong organizational skills and ability to engage effectively with stakeholders at all levels. Director-Level Interaction : Experience working with Directors, external partners, and building professional relationships. Governance Knowledge : In-depth understanding of company secretarial duties and relevant company law. Desirable Skills: Proficiency in entity management software. Background in student accommodation, real estate, or construction. Experience in investment management, preferably with international exposure. Strong collaboration skills across geographic and functional boundaries.
