Company Secretarial Assistant Job Description At SUSE we are looking for a Company Secretarial Assistant to join our Legal Team. The primary responsibility of this position is to support SUSE’s Company Secretarial function, ensuring effective subsidiary governance and compliance across 30 jurisdictions. Critical to achieving excellent results will be strengthening governance and compliance standards, supporting knowledge retention, and ensuring seamless continuity and support. The role sits within the Company Secretarial function, working primarily with the Assistant Company Secretary and also the Deputy General Counsel, who are both based near SUSE’s UK office in Staines with hybrid working arrangements. You should expect to work from SUSE’s UK office in Staines at least once a week. Focus Areas Assisting the Assistant Company Secretary in overseeing compliance across SUSE’s subsidiaries, including coordinating the signing and filing of subsidiary financial statements, organising meetings, and ensuring all filings are completed within required deadlines. Maintaining accurate and up-to-date corporate records, including minute books, statutory registers, and compliance documents. Developing and maintaining a process library that documents key governance and compliance procedures to improve efficiency. Coordinating document signatures and notarisation processes to meet jurisdictional compliance requirements. Liaising with internal teams (e.g., HR, Real Estate, Finance and Tax) and external providers to ensure subsidiary governance matters are managed effectively. Assisting with ad-hoc governance projects, such as board changes, KYC requests, and cost reviews, to enhance operational efficiency. Providing reliable coverage during Assistant Company Secretary absences to ensure continuity in governance and compliance activities. Preferred Experience & Skills A minimum of 1 years’ experience in corporate governance roles, preferably within a multinational organisation. Experience of working with global entity management systems (e.g., Diligent, GEMS). Understand the importance of compliance with legal and regulatory standards across jurisdictions. Demonstrable experience in developing and maintaining process documentation or standard operating procedures. Highly adept at managing competing priorities and working independently to meet deadlines. Excellent communication skills with the ability to foster long-term relationships with internal teams, external providers, and stakeholders.
