RAC are excited to be recruiting for a brand-new role of Company Secretarial Assistant to join our Legal function. Reporting directly to the Company Secretary, this role will play a key part in supporting the secretariat team by delivering core company secretarial duties and helping to maintain the highest governance standards through accurate and organised records. This opportunity is ideal for someone with some company secretarial experience who is part or fully qualified (through the CGI), with proven minute taking experience as part of their role. It would also suit a paralegal who is interested in transitioning into company secretarial work and who thrives in a fast paced, dynamic environment. For the right candidate, RAC will provide full support to complete the Chartered Governance Institute’s Qualifying Programme if required, including paid study support to help you become fully qualified. This is a hybrid role, working 2 days a week from our Bradley Stoke office and 3 days a week from home offering flexibility while being part of a dynamic and supportive team. What you will do · Meeting Coordination and Minute Taking : Provide high quality support for subsidiary board and committee meetings, including meeting administration, logistics, minute taking and follow up of action points. Statutory Compliance and Record Maintenance : Assist with maintaining accurate corporate and statutory records, such as member registers, share registers, director or officer appointments/resignations and annual returns, ensuring compliance with statutory deadlines. Governance Support : Support statutory compliance across subsidiary companies in line with the Companies Act 2006, the Wates Principles of Governance and best practice. Corporate Transactions Assistance : Coordinate and support corporate transactions, including equity transactions. Stakeholder Liaison : Liaise with senior management and other stakeholders to coordinate meeting agendas, papers, and updates to support the various sub committees. Governance Projects Participation : Assist with governance projects to improve standards across the Group, including annual content updates, conflicts of interest reviews and verification of statutory records. Year-End Process Support: Support the year-end process for subsidiary entities, including preparation and approval of year-end accounts and Annual Report content.
