This person will be responsible for supporting the Legal function of the company including but not limited to helping in negotiating vendor and logistics contracts, risk management and insurance, liaising with internal staff to establish and manage corporate compliance initiatives, and liaising with outside legal counsel. This person will lend global support to overseas offices as well as participate in a variety of strategic initiatives in the legal and compliance departments, human resources and collaborating with operations. Whilst the role will be primarily UK&I focussed there will be opportunity to step up to do cross border work and assist the Head of Legal – EMEA in establishing the Legal team across EMEA. Responsibilities include, but are not limited to, the following: Review, redline, and negotiate all types of contracts which can consist of Master Service Agreements, Vendor Agreements, Software licensing agreements, complex ecommerce contracts, Agency and Trademark Agreements, NDAs, etc. including drafting of templates and contracts for use. Defending my client’s shipping terms including lien rights, indemnities, limits of liabilities etc. Maintain and assist with renewing or negotiating company property leases. Assist in resolving and defending any major disputes on behalf of the business and lead on smaller disputes and dispute resolution strategy. Assist in trademark enforcement across UK&I Work with and support with various requests such as GDPR and other privacy rules and regulations. Assist Head of Legal – EMEA to build the UK & I Legal team including defining the legal strategy and initiatives for UK&I Support the business on a daily or as needed basis with business and operational requests that need legal support along with other matters/projects as assigned. Collaborate with outside counsel on an as needed basis to drive cost saving efficiencies as well as to mitigate risk as best as possible. Assist with and support to Human Resources including drafting Employment Agreements, negotiating Staffing Agreements, Releases. Work with and assist Human Resources and Compliance to improve legal compliance across UK&I. Education and/or Experience The role will be hybrid with the individual being in the office 2-3 days a week. The current Head of Legal -EMEA is based in Windsor so initially any candidate will need to be comfortable being in Windsor for the first 1-3 months. However, my client has offices across the country so we are open to an individual being based at any one of those offices (including Glasgow, Southampton, Milton Keynes, Northampton, Egham). It is anticipated that it would be most suited to an existing in-house lawyer looking to make the next step in their career who has 2-4 years PQE. Ideal candidate will primarily have experience in commercial law and contracts and whilst any experience of the logistics industry would be beneficial it is not required. As with any in-house role experience in the following areas will also be beneficial: Cross-Border Contracts and Trade Law, Commercial Property, Technology Law and Contracts, Data Protection and Compliance, Employment Law, Litigation and Dispute Resolution, Corporate Governance, Trade Marks and Enforcement.
