We’re looking for a Deputy Company Secretary Based in London and reporting to the Head of Legal, Hamilton Global Specialty, this newly created role will be responsible for the provision of company secretarial and governance services to Hamilton Managing Agency Limited and its Syndicates under management and other associated UK Group entities. This role will assist the Head of Legal and lead the Secretariat function to ensure good corporate governance standards are met and that the Group’s UK subsidiaries are compliant with the Companies Act 2006 and other relevant statutory requirements. This also includes advising the Head of Legal on changes in legislation affecting corporate governance, best practice and taking the lead role on the implementation of continuous improvements to governance processes and the Secretariat function. Hamilton Global Specialty is our multi-platform, specialty insurer operating primarily through a Lloyd's Syndicate and Dublin operating company with a managing general agency in the US. What you will do Deliver timely and best practice company secretarial support for Boards and Committees including: meeting planning, agenda setting, maintenance of the forward planner ensuring the timely distribution and publication of high-quality materials attendance at Board, Committees and ad hoc meetings producing high quality minutes within expected timescales; and tracking to completion actions arising from meetings Provide advice on and facilitate compliance with relevant statutory and regulatory company secretariat and governance requirements Ensure policies, standards and governance documentation (including Terms of References) are appropriate, effectively communicated, continuously reviewed and updated to reflect internal/external changes Coordinate director induction and onboarding Support and coordinating director training programme and Board effectiveness reviews Maintain relevant registers, statutory books, and administration systems Liaise with external auditors and other external parties as required KYC support to other functions Horizon scanning in respect of company secretarial, corporate and governance matters, and supporting the Head of Legal to advise the Board and Executive as appropriate, including preparing and implementing action plans to ensure compliance where necessary Support and coordinate corporate projects of business changes or continuous improvement initiatives, for example, corporate finance transactions, corporate reorganisations or closure of dormant companies Ensure the skills and knowledge of individuals within own team are utilised and developed to best advantage and build strong team engagement and performance, and role model the company’s values Contribute to the development of company secretarial practices, and advice to the business on the impact of company secretarial issues Manage individual company secretarial projects, as required Build stakeholder relationships What you require for the role Chartered Secretary (ACG or FCG) or lawyer with experience gained in a regulated environment (FCA, Lloyds or PRA) at a senior level (ideally Board level) Experience of acting as Secretary for a portfolio of companies within a Company Secretariat team and ensuring applicable governance standards are met Strong knowledge of corporate governance principles, including driving high quality governance standards, via credible and practical experience Experience of dealing at Senior Management and Executive level and meeting their expectations Proven ability to manage projects and foster relationships with senior personnel, third parties and external advisers Minute taking capability, of a consistent high-quality standard and conducive to serving a regulated entity Forward and outward looking approach to governance and industry developments High-level of attention to detail and accuracy Proactive and a desire to improve existing practices and innovate, with an ability to work on own initiative Excellent written and oral communication skills Ability to prioritise workload and remain calm under pressure Good interpersonal skills and the ability to work effectively with others Knowledge of Diligent Entities Secretarial software and Diligent Board books, or comparable software Desirable Experience using Diligent software Knowledge of Companies House filings Experience working within the London Insurance Market Experience liaising with the Irish regulator (CBI) Conduct Standards You must act with integrity You must act with due skill, care and diligence You must be open and cooperative with the FCA, the PRA and other regulators You must pay due regard to the interests of customers and treat them fairly You must observe proper standards of market conduct You must act to deliver good outcomes for retail customers What you can expect from us We offer a vibrant, entrepreneurial, and collaborative culture guided by our values: Be Smart, Be Sensible, Be Open and Be More.
