Deputy Company Secretary - Bath

Join an exceptional team focused on innovation and possibility, where you will be pivotal in shaping their legal and governance framework. Your role includes:
* Acting as senior legal counsel, providing legal research, preparation of Board Papers, and supporting the Company Secretary on key legal matters while managing external legal advisors.
* Delivering comprehensive company secretarial support, including drafting board minutes, resolutions, statutory filings, and engaging notary services.
* Advising on compliance documentation and processes from LLP agreements to Articles of Association.
* Conducting discreet internal investigations into compliance breaches, reporting findings directly to senior management.
* Designing and implementing global compliance programmes covering areas like Data Protection, Modern Slavery, and Conflicts of Interest.
* Providing legal guidance for the UK Property Portfolio alongside general legal support requests.
* Offering ad hoc legal insight on employment and supplier contract disputes while summarising complex legal advice for ease of understanding.
* Managing legal risks and overseeing the annual renewal process for Global Cyber Insurance and Director and Officer insurance.
* Supporting the Annual Audit cycle, including facilitating Director sign-off of accounts and Audit Committee meetings.
* Advising the board on statutory duties while promoting best practises in corporate governance.
* Ensuring compliance with laws and regulations, developing legal and compliance frameworks, and leading training initiatives.
* Monitoring regulatory developments and updating internal policies accordingly, ensuring that governance remains current and compliant.
The ideal candidate will:
* Be a qualified solicitor and ICSA graduate with significant PQE experience and in-house legal expertise.
* Possess strong analytical skills along with commercial acumen, particularly in commercial property.
* Recognise and address strategic, legal, or reputational issues effectively.
* Demonstrate excellent communication and presentation skills, capable of engaging diverse audiences.
* Exhibit exceptional interpersonal skills, allowing for clarity in conveying technical information.
* Be adept at managing relationships with staff at all levels to minimise legal, risk, financial, and reputational impacts.
