York, London or Colchester based – Hybrid – min 2 days per week in the office
We are looking for an Assistant Company Secretary for our UK-based Company Secretary team. In the role you'll be responsible for the delivery of the corporate administration of UK, Guernsey and European entities, be a key member of the Group General Counsel team and will act as Company Secretary to a number of entities.
You'll be a central point of communication between the Chairs, Senior Management, key teams (Compliance, Risk, Finance, HR, Group Communications). The role will ensure that the entities within scope meet the expected standards of governance and comply with all necessary legal and regulatory requirements.
Key Responsibilities:
* Support of UK, Guernsey and European subsidiary boards and committees: assisting the Chair and the Board in setting the agenda; preparing minutes; maintaining action logs and drafting forward agenda plans.
* Maintain statutory books and records for entities under the team's scope within the Hiscox Group on Diligent Entities. Carry out filings of Companies House returns and forms (e.g. director appointments and resignations, annual returns etc.) and ensure the relevant governance protocols are in place to enable similar provisions to be delivered in the other jurisdictions managed by the team.
* Ensure all entities within scope comply with the standards set out in the Group Governance Manual.
* Assist in the preparation of written resolutions and documents for execution by Directors.
* Proactively assist with auditor requests and subsidiary queries.
* Provide input to ad-hoc projects and work streams across the Group.
* Provide assistance to the wider Group General Counsel team as required.
* Deputise and cover for the team when required.
* Provide support and advice in relation to the electronic board paper system (Board Intelligence) and provide technical support to others across the Group.
About You:
* You’ll have 3+ years’ experience within a company secretarial role in a regulated environment – very desirable is Insurance but we will consider Financial Services.
* You will be qualified/part ACG or equivalent (or a strong desire to start the Company Secretary qualification).
* Have the resilience to work under pressure in a dynamic environment.
* Have courage to challenge the ways things are done and suggest improvements.
* Be an excellent communicator.
* Be a Team player – someone who recognises the importance of working with colleagues and providers to deliver a quality service.
* Have the ability to influence colleagues at the highest levels.
* Have the ability to take in and process large amounts of information.
* Have the ability to write minutes of complex meetings.
This role is a part of the wider Group General Counsel team so in addition to the above, we are looking for a motivated team player who is delivery focused, holds themselves to the highest standards and is not afraid to suggest solutions as to how things can be done better.
