The Partnerships & Transactions team is responsible for leading acquisition, divestment and partnership activities for RWE Offshore Wind's portfolio of projects (development, construction, operational) as well as supporting projects pipeline growth through new partnership. The team additionally executes M&A transactions in relation to existing assets or to fulfil the company’s growth ambitions. OFTO transactions for the company’s sizable UK project pipeline form part of the team’s core mandate.
Key responsibilities
* Lead and manage the OFTO divestment process from start to completion
* Lead the OFTO Due Diligence Process including set up and management of the Ofgem data room & bidders’ Q&A
* Lead the cost assessment process in close collaboration with the project team
* Guide the cost allocation process such that OFTO costs are clearly identified and evidence available to substantiate that they have been efficiently and economically incurred
* Oversee a diverse, multi-disciplinary OFTO divestment team of experienced professionals
* Manage relationships with all the stakeholders of the OFTO divestment process (OFGEM, BEIS, OFTO bidders, external advisors, syndicate banks, JV partners etc.)
* Negotiate and manage the Transfer Agreement and ancillary agreements (Interface Agreements, Security Agreements, O&M Agreements) with the preferred bidder
* Liaise with RWE stakeholders to ensure that transactions and tax structures meet the needs of the RWE Group
* Provide and present progress throughout each stage of the divestment process seeking approvals whenever needed
* Seek solutions and risk mitigation strategies in case of deviations to transaction plans and budgets
* Monitor broader OFTO market and OFTO regime developments
Skills
* University degree in relevant discipline (e.g. business, legal, finance, economics)
* Several years of transaction experience in the energy industry
* Strong expertise in OFTO divestments, wider M&A, JV’s and project finance
* Negotiation experience of key project contracts (e.g. SPAs, SHA’s, Transfer Agreements, Security Agreements, Interface Agreements, Construction Agreements, O&M Agreements)
* Profound knowledge of the regulatory and technical aspects of the OFTO regime and OFTO industry to most efficiently assert our interests
* Experience in running a regulated cost assessment process
* Knowledge of offshore windfarm construction & operations, including economics, cost drivers and key risks
* Knowledge of the wider UK renewables energy industry and government energy policy
* Ability to forward plan, project manage, discover, anticipate, and resolve potential problems
* Managing and influencing diverse project stakeholders (Public authorities, JV partners, syndicate of banks, advisors) with strong networking and excellent communication skills (both written and verbal)
* Experience in participation in board meetings/discussions
* Strong negotiation skills and ability to lead and challenge transaction strategies
* Strong personal skills, acting comfortably in various cultural environments with a sense for diversity and inclusion
