Orbia is hiring for an Assistant General Counsel – EMEA to be based in the UK working Hybrid.
Main Purpose
Manage all legal support for Orbia’s Fluor and Energy Materials business operations in the United Kingdom and EMEA/India regions, keeping the OF&EM General Counsel well informed. The business has important business in this region, and you will partner with the product strategy/business development and commercial areas to ensure that contracts related to that business are negotiated in a timely manner.
Main Responsibilities
* Support the Orbia Polymer Solutions General Counsel with matters in the EMEA region from time to time.
* Work closely with Orbia’s Fluor and Energy Materials General Counsel and OF&EM law department colleagues on important, business-critical projects.
* Oversee external lawyers and manage the budget for external engagements.
* Participate in various Orbia Law Department projects and initiatives, as assigned by the OF&EM General Counsel.
* Support the sales and procurement teams in the negotiation and drafting of sales and purchasing contracts.
* Understand regulatory schemes applicable to the business and lead important regulatory initiatives for the business.
* Work with the OF&EM General Counsel and business to establish and maintain a contract administration process, including the efficient storage/retrieval of contracts, as well as the monitoring and documenting of renewal or termination of contracts.
* Establish and maintain a database of real estate properties.
* Interacting with other functions to obtain relevant input for transactions and projects.
* Keep abreast of changes in United Kingdom and European Union law and regulations and working with the businesses to respond to such changes.
* Regularly gather, maintain, and report data on various topics, such as contractual activity and outside counsel fees.
* Assist the General Counsel and Orbia Chief Compliance Officer, including within the “compliance liaison” framework, to implement the Orbia compliance program throughout OF&EM EMEA and Asia. Assist as requested by the OF&EM General Counsel in carrying out compliance investigations.
* Train OF&EM, and other Orbia staff regarding compliance with applicable laws and company policies.
Qualifications
* Law degree and admitted to practice in the USA, UK or both.
* 8+ years of professional experience in combination of law firm and in-house, with a preference for candidates who have worked for USA-based multinational companies.
* Experience advising manufacturing clients.
* Proficient in Microsoft Word, Excel, and PowerPoint.
Knowledge/ Experience Required
* Strong background in corporate and business law, managing international affairs gained at a leading law firm and corporation. Comfortable working with colleagues and projects in different time zones and jurisdictions.
* Substantial experience working with commercial contracts of all types to support transactions of significant importance to the company.
* Excellent contract drafting skills. An expert grasp of contract concepts, together with a strong ability to apply them practically.
* Experience with implementation of compliance programs as business counsel, including compliance-related subject matter such as antitrust, anti-corruption and data privacy; development, implementation or monitoring of corporate policies.
* Experience of working on commercial contracts in the Pharmaceutical industry would be advantageous.
* Experience with mergers and acquisitions is desirable.
* Superior analytical and organizational skills.
* High technology acumen, including experience with contracts databases and electronic storage of pertinent agreement terms and commitments.
* The ability to communicate concisely and effectively both orally and in writing.
* The ability to quickly understand business objectives of a transaction, identify important issues, and manage negotiations to achieve the business goals.
* Good understanding of insurance and risk management concepts.
* Ability to analyze new law, regulation and contract trends for potential impact on business unit goals and objectives.
