About the role
The Company Secretariat function is an enabler to realising the strategic vision of the Group within an effective, and proactively managed governance regime that requires of its members strong engagement and communication across a range of internal and external stakeholders and advisers. As the Deputy Company Secretary you’ll be recognised as a Trusted Adviser, proactively advising, and engaging with key stakeholders at Executive and Board level on a range of matters.
Supporting the Group Company Secretary, be responsible for managing and delivering a broad scope of secretariat activities relevant to a FTSE250 company, whilst being accountable for the delivery of critical tasks associated with a listed company’s governance obligations.
Working closely with stakeholders including levels of senior executives, statutory directors (including main board of the listed entity) and external advisers including auditors, corporate legal advisors, shareholders, Registrars, and the London Stock Exchange. You’ll bring to bear your experience and strategic thinking both to the evolution of the Company Secretariat function, in addition to the work of the Board, its committee’s and the wider Executive.
You’ll be responsible for
* Deputising as required for the Group Company Secretary on the Board and its Committees
* Deputising as required for the Group Company Secretary on the Executive Committe
* Leading or taking a senior role in the delivery of time critical objectives, working with a colleagues and critical stakeholders outside the organisation as an enabler and influencer which would include defining project scope, setting objectives and realising their delivery.
* Delivery of the Annual Report and Financial Statements and the AGM
* The provision of the group Shares & Share Plans equity reward strategy & associated activities, driving performance and continuous improvement, enabled by an appreciation of material issues, including those beyond the immediate responsibility of the Company Secretariat team.
* Responsibility for a thorough end to end process for compliance with MAR and Listing rules, together with associated processes such as Joiners/Leavers/Movers and for day-to-day execution.
The role will be based in London with travel to other locations as required including overseas. Minimum 3 days in the office each working week, with more around key times such as year-end.
Who we’re looking for
To be successful in this role you’ll need to be a qualified company secretary with associate or fellow status with the ICSA (or qualified lawyer, with proven corporate experience in supporting complex UK listed companies), with demonstrable FTSE 100/250 experience. You’ll have a proven record operating in a Deputy role at Senior level, accountable for initiating and driving the delivering key projects, including corporate change, M&A, Governance structures. The candidate will also demonstrate a proven ability to understand the wider organisational context and strategy, an ability to assess the role of the Secretariat in enabling their delivery that includes an in-depth understanding of the function to enable the Group in the realisation of its objectives
It’s crucial that you possess in depth technical knowledge within each of a) Companies Act, b) Market Abuse Regime, c) Disclosure and Transparency Rules, d) UK Corporate Governance Code and their respective practical application to a FTSE250 Company.
You’ll demonstrate commerciality, combined with attention to detail, teamwork, and strong technical skills, responding well to and positively influencing change. Capable of receiving, analysing, comprehending, and reporting on a range of complex issues, including the drafting and review of technical reports.
Alongside the ability to influence, manage and drive delivery of advisers across all aspects of the Company Secretariat function.
