We have an exciting new opportunity working with one of the firm’s client programme clients in relation to the creation and operation of the client’s fund obligations framework. Tasks include: reviewing fund documentation (typically fund limited partnership agreements and side letters) and identifying all of the contractual obligations in such documents; once identified, determining how each obligation is best monitored, for example, investment related obligations/restrictions to be included in an investment checklist to be made each time an investment is made by the fund concerned; preparing the relevant checklists and questionnaires in a plain English format which is easily digested by the end users which will be a variety of individuals from lawyers to deal team members to fund administrators; overseeing the quarterly questionnaire process which checks compliance with the obligations across each of the funds. What we're looking for The individual will ideally be around 4-5 PQE, gained in either private practice or in-house. Excellent accuracy and attention to detail. Excellent management and teamwork skills. The individual will be working with and managing a small team of lawyers and paralegals Excellent drafting and written skills. It is extremely important that the product delivered to the client is one which is accurate but is easy to understand. This will require the ability to review and understand often quite lengthy clauses and break them down into easily digestible questions. Strong time management skills. Strong client skills as you will be required to liaise directly with individuals at the client, including members of senior management. Desirable but not required: Familiarity with closed-ended fund documents. Familiarity with the private equity and infrastructure sectors.
