We are looking to strengthen our Board by adding an experienced and highly skilled Lawyer to join our Board as a Non-Executive Director.
This role offers a unique opportunity to contribute to our governance, strategic direction, and risk management while providing legal insight and expertise. The role is on a volunteer basis.
As a Non-Executive Director with a legal background, you will serve on the Board of Directors, providing strategic guidance and independent judgment to help steer the company’s growth, governance, and long-term success. While you will not be involved in day-to-day management, your legal expertise will play a crucial role in supporting the Board with key decision-making, compliance, corporate governance, and risk management.
Key Responsibilities:
Governance & Strategy:
* Attend Board meetings and contribute to the strategic direction of the company.
* Provide guidance on the legal and regulatory implications of decisions.
* Help the Board maintain effective governance practices and ensure compliance with applicable laws and regulations.
Legal Expertise & Risk Management:
* Offer legal perspectives on key business decisions, contracts, and partnerships.
* Advise on legal risks and help mitigate them through sound legal judgment.
* Ensure that the company adheres to corporate governance best practices, ensuring all decisions are legally compliant.
Compliance & Regulatory Oversight:
* Assist in ensuring that the company complies with relevant laws, regulations, and industry standards.
* Advise the Board on legal risks in areas such as mergers and acquisitions, intellectual property, labor law, and commercial contracts.
* Provide insights on legal matters during Board discussions and decisions.
* Collaborate with other Board members and senior management to guide strategic decisions from a legal perspective.
Ethics & Integrity:
* Ensure that the company maintains high ethical standards and upholds a strong reputation in the legal and business community.
* Contribute to discussions on corporate social responsibility, ethical behavior, and transparency.
About The Candidate
Required Qualifications:
* Legal Qualifications: A qualified lawyer with a recognized law degree (LLB or equivalent), and in good standing with the relevant legal governing bodies.
* Experience: Significant experience (typically 5+ years) in a senior legal role, ideally with exposure to corporate governance, M&A, regulatory matters, and corporate law.
* Board Experience: Previous experience as a Non-Executive Director or in a senior governance role is highly preferred.

* Strong analytical, critical thinking, and decision-making abilities.
* Excellent communication and interpersonal skills with the ability to influence and advise senior stakeholders.
* High level of integrity, professionalism, and discretion.
* In-depth understanding of the company’s industry and market.
* Expertise in corporate law, regulatory compliance, intellectual property, and risk management.
* Ability to work collaboratively in a diverse and dynamic environment.
* Proactive and able to think strategically while providing independent oversight.
Time Commitment:
Board meetings typically occur once a month and will require approximately 2-3 hours per month for preparation, meetings, and follow-up activities.
