ABOUT THE POSITION We’re looking for a Contracts Manager to join our team, based in Portsmouth and operating across the UK and USA. You will have a strong working knowledge of multiple types of contracting with an interesting and varied portfolio including employment contracts, EULAs, partnership agreements and ad hoc legal advice. This is a fantastic opportunity for someone with proven experience managing SaaS related contracts from both customer and supplier perspectives to grow with a thriving business. You’ll be working with our team handling any contract and legal related questions as they arise, these could relate to anything in the sales and tender processes, supplier contracts, compliance obligations and more. A vital part of the team, you will report into the CEO and support all areas of the business with any legal questions. WHAT WILL I DO? Be accountable for delivering and maintaining all company contracts - including but not limited to customer, vendor/supplier and employment related contracts Ensure all non-standard commercial terms are reviewed, approved, and properly documented Negotiating, reviewing and managing global contracts to ensure risks are mitigated and that policies and processes are adhered to Working with Sales to coordinate, review and prepare responses to tenders, owning any tender related processes Preparing and updating contract templates and providing training as required Supporting the senior management team as needed Managed risk approach through contracting Reviewing and writing policy around relevant areas of the sales and purchasing processes Conduct ESG reporting in line with best practice and regulatory requirements Support our Registrations (e.g. SAM) Ensure our Trademarks are registered and protected where applicable Support M&A activities where required WHAT ARE WE LOOKING FOR? A background in law, preferably as a solicitor, although a background in procurement or commercial contract management is also acceptable. Strong working knowledge of applicable commercial legal principles and able to work on diverse contractual issues simultaneously from inception to completion. Experience negotiating a broad range of legal issues that arise in the context of commercial transactions (e.g. indemnification, limitation of liability, confidentiality, SLAs) Experience creating and reviewing contracts and legal documents such as commercial contracts, EULA’s, MSA’s, NDA’s etc. Reviewing both Searchlight created documents as well as those given to us by customers, suppliers or partners. Significant experience supporting sales teams and the wider business with any and all contract related questions - including drafting and negotiating software licensing and SaaS customer agreements with public sector and large corporates Experience working across the business to build new process, execute contracts and ensure any legal questions are answered Preferably experience working in a SaaS technology business, familiarity with subscription models, pricing, common legal questions and purchasing methodology Adept in contract analysis, including process-driven compliance to align with internal finance policies Knowledge of Data Security and Data Privacy terms is a benefit Understanding of both public and private sector contracting and purchasing methods Strong commercial knowledge, understanding how contracts and purchasing tie into business process and goals Able to communicate effectively with stakeholders from at all levels of business Comfortable operating under pressure/with a sense of urgency Strong research, analytical, and problem-solving abilities WHAT’S IN IT FOR ME?
