Head of Governance and Compliance
Contract: 6 month FTC
Working arrangement: 3 days a week in the office (London)
Key responsibilities:
Governance
* Provide regular updates on legislative and regulatory changes which affect the charity to Council and staff, ensuring that trustees are equipped with the relevant training to discharge their responsibilities in full.
* Joint Secretary to the organisations Audit Committee. The Committee meets 3-4 times per year. You will work with a colleague to support the Committee on issues relevant to the role.
* Company secretary responsibilities, including the management of communication and filing with the Charity Commission, and, in respect of the Society’s subsidiaries, Companies House.
* Act as deputy to the Director of Fellowship, Strategy and Governance in respect of his governance responsibilities, including on the full breadth of activity relating to the work programme for Council, the Society’s board of trustees.
Policies and procedures
* Maintain an overview of the organisations policies and a review programme to ensure they are kept up to date with key legislation and disseminated appropriately.
* Maintain a record of significant non-compliance with policies and procedures, and lead on any investigations into instances of non-compliance, as appropriate.
* Develop and deliver appropriate communication and training around policies and processes across the organisation.
* Lead on the fraud response plan for the organisation and any investigations into suspected or alleged fraud.
* Manage conflicts of interest and the declaration of interest process.
Legal
* Work with external advisers and senior colleagues to oversee provision of legal support to the organisation, including the management of external legal counsel and representation.
* Provide management and support to the organisation on contract reviews, working with colleagues in the procurement team to ensure contracts are adequately reviewed prior to sign off.
* Provide guidance and support on all areas of compliance with statutory, regulatory, donor and sector requirements.
* Work closely with colleagues in Development and finance on legacy administration, liaising with executors and legal advisors and ensuring that all estates are accounted for in line with best practice.
* Support with the legal administration relating to programme related investments.
Data protection
* Lead the data protection champion team, a cross-Society group providing advice on the implications of the legislation for the Society’s work.
* Report to the data protection steering group on data protection matters, including compliance with policies and agreed programmes of process improvement.
* Manage the compliance programme for data protection legislation, including data protection policies and supporting processes and procedures.
* Deliver data protection related tasks including the assessment of data protection incidents, data subject rights requests and data privacy impact assessments.
* Develop and deliver training on handling data, including annual refresher programmes.
Qualifications:
* Extensive experience of supporting and advising senior committees on matters relating to governance and compliance.
* Outstanding communication skills – written and spoken – with internal and external stakeholders.
* Sufficient confidence with, and experience of, legal matters to give advice to colleagues where appropriate and to instruct the Society’s legal advisers where needed.
* Ability to form effective collaborative relationships with staff at all levels in an organisation.
* Experience and understanding of compliance with the regulatory frameworks relevant to the Society.
* Experience in data protection regulations.
* Substantial experience in developing and implementing policy related processes and procedures.
* Experience of supporting colleagues to ensure best practice.
* Strong organisational and time management skills.
* Ability to lead and manage change processes.
* Highly organised and methodical with strong attention to detail.
* A basic understanding of contract law and the ability to develop expertise in this area swiftly.
