Job Description: We are looking for a high calibre and dynamic paralegal / legal associate to join our team. The role will straddle corporate governance and investment workstreams, including but not limited to, drafting & documentation reviews, transaction structuring, compliance management and secretarial organisation. Preference will be given to candidates with experience in credit markets, asset management and compliance.
Day to day responsibilities include:
* Drafting and organisation of firmwide documentation including company filings, supplier contracts, investment management agreements and advisory arrangements
* Acting as company secretary, ensuring all filings are completed in a timely fashion, governance infrastructure is documented and up to date, and board packs are prepared in advance of meetings
* Coordination of all FCA filings ensuring complete and accurate submissions and quarterly compliance with the firm’s compliance monitoring programme
* Coordination of investor onboarding, including appropriate classification, KYC documentation and marketing compliance
* Monitoring of global regulatory developments relevant to the business’ operations and client base
* Preparation of investment data rooms, drafting of term sheets and transaction counterparty management
* Review of prospectus documentation, covenant amendments and transaction processes related to the investment portfolio
