Role Overview: The Deputy Company Secretary will support and deputise for the Company Secretary, to support the effective and efficient function of the Group Secretariat in ensuring the well-being of the organisation in terms of its administration and compliance with corporate governance principles and standards, and statutory and regulatory obligations. Supporting the Group Company Secretary in assisting and guiding the directors and executive management in their pursuit of the Company's aims whilst acting with integrity and independence to protect the interests of the Company, and through it, its shareholders, its employees, and other stakeholders. This role involves supporting the management of the secretariat function and leading the Company Secretariat team to provide high-quality governance support. Job Details Delegated accountability for providing each Board of directors with the information, protocols, processes, time and resources it needs in order to function effectively and efficiently in compliance with its statutory and regulatory obligations, including effective record keeping Oversight of scheduling and organising of Board/Committee meetings, and meetings of executive management, attending and taking minutes of relevant meetings as allocated, and including preparation and distribution of materials and documentation, and managing follow up actions. Oversight of compliance with all relevant statutory and corporate regulatory requirements, including filing and record-keeping, for all Group entities. Contribute to the production of the Annual Report and accounts and to the wider Group reporting requirements including sustainability Delegated accountability for ensuring that the approach to compliance with relevant board-approved corporate governance code(s) is maintained Provide governance advice and support to the Board of Directors and its committees. Overseeing interactions between each Board and executive management, to ensure that the boundaries within which the respective legal entities can operate are clear whilst still protecting their independence Taking the lead as a governance specialist in supporting those charged with governance in business operations, assisting in developing and maintaining an effective and proportionate governance framework in context of regulatory obligations Ensure the maintenance and development of the Governance Framework and the Group Policy Framework Lead and manage the Company Secretariat team, providing guidance, supervision, support, and development opportunities Skills we would love you to have Experience of servicing Boards/Committees and senior management committees, including effective minute-taking and preparation of all relevant materials and documentation Good knowledge and experience of UK Companies Act, and other corporate legislation, corporate governance codes and best practice, and other regulatory codes and frameworks Excellent IT written and verbal communication skills, and ability to create high quality, professional documentation Knowledge of digital platform(s) for distribution of meeting materials and ancillary documents Excellent stakeholder management, relationship building, and influencing skills including credibility to appropriately challenge Willingness to learn as well as contribute and to receive constructive challenge positively.
